英文契約書において法令遵守の条項として設けられるCompliance with Lawsついて解説します。 例文をとりあげ、要点と対訳をつけ基本表現に注記を入れました。
１．解説：
１）Compliance with Lawsとは
Compliance with Lawsは、法令遵守という意味です。
英文契約書においてCompliance with Law（法令遵守）を条項として設けることにより、当事者が従事するビジネスの業種に応じて、さまざまな内容の関連法令をとりあげて、その遵守義務を規定していることがあります。
Compliance with Law（法令遵守）については：
・両当事者が遵守すると規定するもの。（下記の例文①をご覧ください）
・一方当事者にのみ義務を負わせているもの。（下記の例文②と例文③をご覧ください）
があります。
しかし、英文契約書で一方当事者にのみ、Compliance with Law（法令遵守）の義務を負わせていても、法令上は、両当事者が同様の義務を負うことに変わりはありません。

両当事者にCompliance with Law（法令遵守）の義務を定めています。下線部にanti-bribery（公務員に対する贈賄禁止）が入っています。
Compliance with Law
Each Party shall comply with all applicable laws and regulations (including but not limited to the anti-bribery related laws and regulations), instructions and guidance of the competent authorities throughout the term of this Agreement.
（訳）：
法令遵守
各当事者は、本契約の有効期間中、すべての関係法令（贈収賄防止に関連する法令を含むがそれらに限らない）、管轄当局の指示及び指導を遵守するものとする。
（注）：
＊comply withは、～を遵守するという意味です。他にabide by、adhere toなども同様の意味を持つ表現であり、よく使われます。
＊applicable laws and regulationsは、直訳すると適用法令及び規制ですが、関係法令と訳しています。applicable lawsについては、詳しくは、applicable lawの意味と例文をご覧ください。

＊the competent authoritiesは、管轄当局という意味です。

２）Compliance with Law（法令遵守）– 例文②
一方当事者のみにCompliance with Law（法令遵守）の義務を定めています。 下線部にanti-bribery（公務員に対する贈賄禁止）が入っています。
Compliance with Law.
Supplier represents and warrants that it has complied and shall comply with all applicable laws, regulations and other governmental requirements in effect at the time of manufacture of each of the Products. Supplier shall comply with the Company’s materials requirements as provided to Supplier from time to time, and reviewed and agreed to by Supplier, and shall undertake testing sufficient to validate compliance with such requirements. Supplier agrees at all times to act consistently with the Company’s global anti-corruption policy.

一方当事者のみに、Compliance with Law（法令遵守）の義務を定めています。
Compliance with Law.
Seller and its Subsidiaries have all material franchises, permits, licenses, consents and other governmental or regulatory authorizations and approvals necessary for the conduct of their respective business as now being conducted by it unless the failure to possess such franchises, permits, licenses, consents and other governmental or regulatory authorizations and approvals, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect.
