１．解説：
１）Payment Termsとは
英文契約書においてPayment Termsとは、代金支払条件のことを意味します。
Payment Terms（代金支払条件）の見出し条項のタイトルは、代わりに、
・Invoicing and Payment（請求および支払い）
・Billing and Payment（請求および支払い）
などと表記されることもあります。
２）Payment Termsが置かれる英文契約書
Payment Terms（代金支払条件）の条項は、
物品やサービスの代金支払いが発生する以下のような英文契約書のPrincipal provisions（主要条項）として置かれます。
・Master Sales Agreement（売買取引基本契約）

１）Payment Terms（代金支払条件） – 例文①
月単位での請求・支払い条件（請求書受領後30日以内）です。
The Provider will invoice the Customer on a monthly basis for all Service Fees accrued during the preceding month, and the amounts due under such invoice shall be payable within thirty (30) days after the Customer’s receipt of such invoice.
（訳）：
プロバイダは、前月に発生したすべてのサービス料金を月単位で顧客に請求し、顧客は、当該請求書を受領後30日以内に請求金額を支払うものとする。
（注）：
＊invoice A for Bは、A（相手方当事者など）にB（費用・代金など）を請求するという意味の表現で、代金支払条件の条項によく使われます。次の例文②でも登場します。
＊accruedは、（費用・利息などが）発生するという意味の契約用語です。代金支払条件の条項や遅延損害金の規定でよく使われます。
＊the preceding monthは、前月という意味です。
＊the amounts dueは、請求金額という意味です。dueについては、詳しくは、due（支払い期限が到来する）の解説と例文をご覧ください。
＊shall be payableは、shall（～するものとする）とbe payable（支払うべき）の組み合わせで、支払うものとするという意味です。shallについては、詳しくは、willとshallの違いと例文とshallとmayの意味と例文をご覧ください。
２）Payment Terms（代金支払条項） – 例文②
月単位での請求・支払い（請求書受領後30日以内）です。後段（下線部分）に支払遅延利息を定めています。
The Service Provider shall invoice the Customer monthly for the Services that the Service Provider provides during the term of this Agreement and shall provide the Customer with a reasonably detailed written invoice. The Customer shall pay all invoices in full within thirty (30) days of receipt except to the extent that any invoice is being contested in good faith by the Customer. Any late payment of an amount that is required to be paid under this Agreement shall bear simple interest from and including the date such payment is due under this provision until, but excluding, the date of payment, at a rate per annum equal to the rate announced by Bank as its “Base Rate”, plus two percent (2%).

＊reasonablyは、合理的に、適度にという意味です。一般常識からみて合理的、適度な範囲でという意味合いで使われる用語です。
＊pay all invoices in fullは、すべての請求書を全額支払うという意味です。 pay in full（全額を支払う）を使った表現です。
＊except to the extent thatは、～した場合を除きという意味です。詳しくは、to the extent thatの意味と例文をご覧ください。
＊is being contestedは、異議を申し立てたと訳しています。contestは、異議を唱える、反対するという意味です。
＊in good faithは、誠意を持ってという意味です。詳しくは、good faithの意味と例文をご覧ください。
＊bear simple interestは、単利計算で利息を負担するという意味です。
＊from and including the date such payment is dueは、直訳するとfrom and including the date（その日からとその日を含めて）とsuch payment is due（その支払い期限がきている）の組み合わせですが、支払い発生からと意訳しています。dueについては、詳しくは、due（支払い期限が到来する）の解説と例文をご覧ください。
＊until, but excluding, the date of paymentは、直訳するとぎこちないので支払い日（ただし支払い日を除く）までと訳しています。

３）Payment Terms（代金支払条項） – 例文③
製品の引き渡し後の代金支払い（請求書送付から30日以内）です。支払遅延があった場合の救済に、出荷停止を含めています。
After delivery of products by the Seller in accordance with the terms of a purchase order issued and accepted in accordance with the terms of this agreement, the Seller shall send an invoice to the Purchaser with respect to such product. Each invoice shall identify the purchase order(s) covered by the invoice. The Purchaser shall pay each such invoice within 30 days after the date on which such invoice is sent to the Purchaser. In the event that the Purchaser is delinquent in its payments, the Seller may, in addition to any other remedies, suspend shipments of products.

（注）：
＊After delivery of productsは、製品を引渡した後という意味です。delivery（引渡し）は、売買契約において製品の代金支払いや危険負担・所有権の移転などの時期に影響を与える重要な用語です。
＊in accordance withは、～に従って、～に基づきという意味です。他にも、in accordance withと置き換えて使うことができる同様の意味を持つ表現として、
・pursuant to（～に従って、～に基づき）
・consistent with（～に従って、～に沿って）
・subject to（～を条件として、～に従って）
・in compliance with（～を遵守する、～に従って）
・in conformity with（～に従って、～に準拠して）
があります。
in accordance withやこれらの類似の表現は、いずれも権利や義務に条件をつける表現です。英文契約書において、これらの表現が使われているときは、何を条件としているのか、自社にとって無理のない条件か、について注意して見ていく必要があります。
＊the terms of this agreement は、本契約の条件という意味です。
＊with respect toは、～に関するという意味です。他にも、with respect toと同様の意味を持つ表現として
・respecting（～に関して、～に関する）
・in respect of（～に関して）
・in relation to（～に関して、～に関連して）
・concerning（～に関して）
・regarding（～に関して）
・pertaining to（～に関して）
・with regard to（～に関して）
・relating to（～に関連する）
などもよく使われます。
＊In the event thatは、～の場合という意味です。In the event thatも権利や義務に条件をつける重要な表現です。この例文では、買主が支払を滞納した場合の売主の権利（製品の出荷停止を含むあらゆる救済）が規定されています。
＊delinquent in its paymentsは、支払いを滞納するという意味です。
＊remediesは、救済手段という意味です。
＊suspendは、停止するという意味です。
