１．解説：
Return or Destruction of Informationとは、英文契約書の秘密保持契約に置かれる
秘密情報の返還・廃棄条項
のことを意味します。
Return or Destruction of Information（秘密情報の返還・廃棄条項）では、
『契約終了時や開示当事者から返還請求があったときは、受領当事者は速やかに秘密情報を返還・廃棄する義務を負う』
というような内容で規定されます。（下記の例文①と例文②をご覧ください）
契約終了後、秘密情報を返還・廃棄することを規定すれことにより、
万が一、相手方が秘密情報を他の目的に利用したり第三者に漏洩した場合に、差し止めや損害賠償などの救済を受けることも可能となります。
秘密情報の返却に関するキーワードとして、
tangible（有形物であること）
という用語がよく使われます。（下記の例文②をご覧ください）
秘密情報の返却は、書類、図面、データ、試作品、レポートなど、目に見える形になっている必要があるからです。

Return or Destruction of Information
Upon termination of the discussions between the parties contemplated by this Agreement or upon request by the Disclosing Party’s written request, the Receiving Party and its Representatives will promptly return to the Disclosing Party all written Information that has been provided to the Receiving Party by the Disclosing Party; provided, that in lieu of being returned to the Disclosing Party, such written Information may be destroyed by the Receiving Party, in which case the Receiving Party shall provide the Disclosing Party a written certification that such written materials have been destroyed.

秘密情報の返還・廃棄
本契約の目的である両当事者間の検討が終了したとき、または開示当事者による書面の要請に応じて、受領当事者とその代表者は、開示当事者が受領当事者に提示したすべての書面の情報を速やかに開示当事者に返却するものとする。ただし、開示当事者に返却する代わりに、かかる書面の情報は受領当事者により廃棄することができる。その場合、受領当事者は、開示当事者に対し、かかる文書資料が廃棄された事を示す証明書を提出するものとする。

＊in which caseは、その場合という意味です。前の文章にかかります。
＊a written certification that such written materials have been destroyedは、かかる文書資料が破棄された事を示す証明書という意味です。

Return or Destruction of Information
Upon termination or expiration of this Agreement and upon request by the Disclosing Party, the Receiving Party will promptly return to the Disclosing Party all Confidential Information received from the Disclosing Party which is in tangible form or provide a letter certifying as to its destruction.
