１）No Third Party Beneficiaryとは
No Third Party Beneficiary（第三者利益条項）とは、
契約当事者のみに契約に基づく権利や利益がある
ことを規定する条文です。
契約当事者でない第三者（＝Third Party）が受益者的（＝Beneficiary）な立場から、権利を主張することはできない
ということです。
Beneficiary は、受益者という意味です。
契約の締結によって、契約の当事者でない第三者のために何らかの権利や利益を創設したり付与したりするものではないことを明確にする
ことを狙いとしています。
この条項をいれておかないと、
契約の中で、たとえば、第三者に対して契約当事者が何らかの行為を行うことの記載がある場合に、
その第三者（＝契約当事者でない）から契約に基づいて履行の請求がされた場合に、その第三者は履行の請求をする権利がないことを契約当事者が主張できない可能性
があります。

The provisions of this Agreement are for the sole benefit of the Parties and their successors and permitted assigns, and they will not be construed as conferring any rights to any Third Party (including any third party beneficiary rights).
