英文契約書の 一般条項として設けられるArbitration（仲裁条項）について解説します。いくつかの一般的な例文をとりあげ、要点と対訳と語注をつけました。
１．解説：
１) Arbitration（仲裁条項）とは
国際的な取引において紛争が生じた場合は、紛争解決の手段として、
・arbitration(仲裁) と
のどちらかを選択することになります。
arbitration(仲裁) を選択した場合、紛争の解決を第三者である仲裁機関にゆだねて、その仲裁判断に従う旨の合意をします。
なお、仲裁とは、
当事者が紛争の解決を、第三者である仲裁機関（仲裁人）の判断にゆだね、それに従うことを予め合意して行なわれる紛争解決の手続き
のことをいいます。
そして、英文契約書において当事者が仲裁手続きに付することに合意することを取り決めた条文が Arbitration（仲裁条項）です。
２） arbitration(仲裁) のメリット
arbitration(仲裁) は、主に、以下のメリットが挙げられています。
・執行力：
裁判所の判決は、承認を得なければ他国で執行できません。
これに対して、日本を含め、世界の主要国が加盟するニューヨーク条約（外国仲裁判断の承認及び執行に関する条約）の加盟国で行われた仲裁は、他の加盟国でも執行が可能とされています。
・非公開：
裁判は、原則として公開されます。
他方、仲裁では多くが非公開であり、企業は、機密を保つことができます。
・紛争解決の時間：
裁判と異なり、仲裁判断は上訴ができないため、短期間に紛争を解決できるといわれています。
３） arbitration(仲裁) のデメリット
これらに対して、仲裁もデメリットがあります。
・裁判よりもコストがかかる、
・仲裁人の判断により、その裁定がどうなるかの予測が裁判より難しいことがある
などが挙げられています。
４）Arbitration（仲裁条項）の内容
英文契約書における Arbitration（仲裁条項）では、
・仲裁機関
・仲裁人の人数
・仲裁地
・使用言語
・費用負担
などが規定されます。
国際的な仲裁機関はいくつかあります。

日本商事仲裁協会の商事仲裁規則、仲裁地は東京です。
All disputes, controversies or differences arising out of or in connection with this contract shall be finally settled by arbitration in accordance with the Commercial Arbitration Rules of The Japan Commercial Arbitration Association. The place of the arbitration shall be Tokyo, Japan.
（訳）：
本契約に起因又は関連して生じるすべての紛争、論争又は意見の相違は、日本商事仲裁協会の商事仲裁規則に従って仲裁により最終的に解決されるものとする。 仲裁地は日本の東京とする。

国際商工会議所の仲裁規則、一人又は複数の仲裁人です。
All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.
（訳）：
現在の契約に起因又は関連するすべての紛争は、国際商工会議所の仲裁規則に従って、当該規則に従って任命された1人又は複数の仲裁人により、最終的に解決されるものとする。

国際商工会議所の仲裁規則、3人の仲裁人、仲裁地はパリ、仲裁言語は英語です。
Any disputes, controversy or claim arising out of or in relation to this Agreement, including the validity, invalidity, breach or termination thereof, shall be finally settled under the Rules of Arbitration of the International Chambers of Commerce by three arbitrators appointed in accordance with the said Rules. The seat of the arbitration shall be Paris, France. The arbitral proceedings shall be conducted in English.
（訳）：
有効性、無効性、違反又は契約解除を含み、本契約に起因又は関連する紛争、論争又は請求は、国際商工会議所の仲裁規則に基づき、当該仲裁規則に従って任命された3名の仲裁人により最終的に解決されるものとする。 仲裁地はフランスのパリとする。仲裁手続は英語で行われるものとする。

In the event of any dispute between the Parties which arises under this Agreement, such dispute shall be settled by confidential arbitration in accordance with the rules for commercial arbitration of the American Arbitration Association in effect at the time such arbitration is initiated. In the event that Arbitration is needed, the costs will be divided evenly between the Parties.
（訳）：
本契約に基づき当事者間で紛争が生じた場合、かかる紛争は、仲裁が開始された時点で有効な米国仲裁協会の商事仲裁規則に従って、秘密仲裁により解決されるものとする。 仲裁が必要な場合、費用は両当事者間で均等に分割される。
