英文契約書のラテン語の表現であるmutatis mutandisについて解説します。併せて、例文をとりあげ対訳をつけました。例文中の他の基本表現に注記を入れました。
１．解説：
mutatis mutandisは、ラテン語の表現で、日本の法律用語の「準用して」に相当するそのものズバリの語句です。
すなわち、 mutatis mutandisは、ある事項を、類似の事項に必要な修正を加えて、あてはめる、という意味です。
英文契約書では、すでにある規定や文言の趣旨に準じて新たに適用させるときに使われます。

１） mutatis mutandis の例文①
apply mutatis mutandis（準用する）の例文です。機密保持義務が、サンプル等にも準用されます。
The obligations of confidentiality contained in this Agreement shall apply mutatis mutandis to any sample, prototype or other such article received from or on behalf of the disclosing party.
（訳）：
本契約に定める機密保持の義務は、開示当事者から、または開示当事者のために受領したサンプル、プロトタイプまたはその他の物に準用される。
＊on behalf ofは、ここでは、～のためにという意味です。
＊the disclosing partyは、開示当事者という意味です。
２） mutatis mutandis の例文②
interpretとmutatis mutandis の組み合わせで、解釈に準用されるとなります。
Otherwise, the rules of interpretation set out in sub-clauses 2 to 5 of the Original Agreement shall apply in interpreting this agreement mutatis mutandis as if the same shall be incorporated herein.
（訳）：
それ以外の場合は、元の契約の第2項から第5項に規定する解釈規則が、あたかも同じものがここに組み込まれるものとして、本契約の解釈に準用される。

＊Otherwiseは、それ以外の場合はという意味です。
＊set outは、規定する、定めるという意味です。set forthと同じです。
３） mutatis mutandis の例文③
apply mutatis mutandis（準用する）の例文です。契約の別の規定が準用されます。
In the event that the Seller does not notify the Purchaser pursuant to paragraph 2 above, then the Purchaser shall conduct the defence of the Indemnified Claim and the provisions of subclause 8 and 9 shall apply mutatis mutandis, as if references to a Warranty Matter were to an Indemnified Claim.
（訳）：
売主が上記2項に従って買主に通知しない場合、買主は補償請求の弁護を行い、保証項目が補償請求に該当するものとして、8および９の条項を準用するものとする。
