consent not unreasonably withheldは、直訳すると、
不合理に同意を留保しない
ですが、
正当な理由なく同意を拒否しない、不合理に同意を拒否しない
という意味で使われます。

Product Liability（製造物責任条項）からです。ベンダーは、サプライヤーの同意なしに、第三者からの補償請求について和解できません。サプライヤーは、この同意を正当な理由なく拒否したり、遅らせてはなりません。
Vendor will notify Supplier promptly after Vendor becomes aware of the basis for a claim under this Section. The parties will cooperate with other to determine the root cause of a defect in or failure of the Products. Supplier may examine and test all available Products are subject to a third-party claim. Vendor will endeavor to include Supplier in settlement discussions where indemnity has been or will be sought from Supplier, and Vendor may not settle or compromise any third-party claim that gives rise to an indemnification claim without Supplier’s prior written consent, which will not be unreasonably withheld or delayed.

ベンダーは、本項に基づく請求の根拠を知った後、直ちにサプライヤーに通知するものとする。両当事者は、製品の欠陥または製品の故障の根本原因について、相互に協力して判断するものとする。 サプライヤーは、第三者請求の対象となるすべての製品について、調査しテストをすることができる。 ベンダーは、サプライヤーに対する過去と今後の補償責任追及についての解決協議の場に、サプライヤーを含めるよう努める。ベンダーは、サプライヤーの事前の書面による同意なしに、補償責任を生じる第三者の請求について解決や和解を行わないものとする。当該同意は正当な理由なく拒否したり、遅らせてはならない。
