英文契約書の前文
のことです。英文契約書の前文とは、
契約の締結に至るまでの目的、経緯、背景などを説明したパートです。

・Preamble：
Preambleは、Recitalsと同じです。前文と訳されます。
・WITNESSETH：
WITNESSETHは、Recitals（前文）や Preamble（前文）と比べて、英文契約書の伝統的、形式的な表記方法です。

Recitals（前文）は、別にWhereas clauseとも呼ばれます。 Whereas ～の形式で始まることが多いためです。

Recitals（前文）は、
WHEREAS, NOW, THEREFORE, in consideration of
の全部を使うのが正式な表記方法です。
しかし、実際には、これらの慣用表現のうち、一部のみ使ったり、あるいは全く省略されることもあります。
Recitals（前文）について、

１） Recitals（前文） – 例文①
NDA（秘密保持契約）からです。
Recitals（前文）の慣用表現の内、in consideration of ～（～を約因として）のみを使っています。
(A) The parties wish to explore the possibility of entering into a mutually beneficial collaborative agreement concerning the future business transaction (the “Purpose”) and for the Purpose, need to disclose confidential information to one another.
(B) The parties are willing to disclose the said information on the basis that it is protected as provided in this Agreement.
In consideration of the mutual premises and covenants contained in this Agreement the parties HEREBY AGREE with each other AS FOLLOWS:

（A）両当事者は、将来の取引（以下「目的」という。）に関して相互に有益で協力的な契約を締結する可能性について検討することを希望しており、この目的のために、機密情報を相互に開示する必要がある。
（B）両当事者は、当該機密情報を、本契約にて保護されることに基づき、開示する用意がある。
本契約に記載された前提と約定事項を約因として、両当事者は、以下のとおり合意する。

Recitals（前文）の慣用表現から、WHEREAS（～なので）, NOW, THEREFORE（よって、ここに）を使っています。
WHEREASは、訳文では、～なのでを全体の文章の流れで略しています。
WHEREAS, Vendor manufactures and sells the product described in Exhibit “A” and desires to appoint Distributor as its non-exclusive distributor of such products in the Territory (as defined below); and
WHEREAS, Distributor desires to become the non-exclusive distributor in the Territory of the products listed in Exhibit “A”;
NOW THEREFORE, the Parties mutually agree to enter into this Agreement in accordance with the terms and conditions stated herein.
（訳）：
ベンダーは、別紙「A」に記載されている製品を製造し販売しており、販売店を、販売地域内（以下に定義する）における当該製品の非独占販売代理店として指定することを望んでいる。
販売店は、別紙「A」に記載されている製品について、販売地域における非独占的販売店になることを望んでいる。
よって、ここに、両当事者は、本契約に記載されている条件に従って、本契約を締結することに合意する。

Consulting Agreement（コンサルティング契約）からです。
例文②と同様の表記です。
Recitals（前文）の慣用表現から、 WHEREAS（～なので）, NOW, THEREFORE（よって、ここに）を使っています。
WHEREAS, the Company is in need of assistance in logistics administration; and
WHEREAS, Consultant has agreed to perform consulting work for the Company in providing logistics administration support and consulting services and other related activities as directed by the Company;
NOW, THEREFORE, the parties hereby agree as follows:
（訳）：
会社は物流管理の支援を必要としている。
コンサルタントは、会社の指示に従って、物流管理サポート、コンサルティングサービス及びその他の関連活動を提供することについて、会社に対するコンサルティング業務を遂行することに合意した。
