英文契約書で、禁止や責任の否定の強調を表す表現のshall notについて解説します。 併せて、例文をとりあげ対訳をつけました。例文中の他の基本表現に注記しました。
１．解説：
１）shall notとは
shall not には、ふたつの意味があります。
①ひとつは、禁止の意味を表します。
～してはならないという意味になります。
be not allowed to～と同じです。
②もうひとつは、責任の否定の強調を表します。
決して～ないという意味になります。
in no event～と同じです。
２）shall notが使われる場面
①shall not（～してはならない）：
英文契約書の様々な場面で使われます。
・秘密情報を外部に開示してはならない
・秘密情報を目的外に使用してはならない
という意味合いでよく使われます。

２．例文：
（注）：上記で解説したshall notは青文字で示し、他の基本表現をハイライトしています。
１）shall not（～してはならない）– 例文①
Confidentiality（秘密保持条項）からです。買主は、無断で、製造者の名称等を使用したり、契約の内容等を開示してはならない、という使い方です。
Purchaser shall not use the name, logo, trademark, or any other reference to Manufacturer, either direct or indirect, in press releases, advertisements, sales literature or other publications and shall not disclose the existence or the terms and conditions of the Agreement, without the prior written consent of Manufacturer.
（訳）：
買主は、製造者の事前の書面による同意なしに、プレスリリース、広告、販売資料もしくはその他の出版物において、直接的にも間接的にも、製造者の名称、ロゴ、商標を使用し、またはその他製造者を引き合いに出し、本契約の存在もしくは本契約の内容・条件も開示してはならない。
（注）：
＊ any other reference to Manufacturerは、直訳すると製造者へのその他言及ですが、その他製造者を引き合いに出しと意訳しました。
＊either direct or indirectは、直接的にも間接的にもという意味です。
＊the terms and conditionsは、（本契約の）内容・条件という意味です
＊without the prior written consent ofは、の事前の書面による同意なしにという意味です。
２）shall not（～してはならない）– 例文②
Confidentiality（秘密保持条項）からです。受領当事者は、契約の目的以外に、開示情報を使用してはならない、という使い方です。
Each party hereby agrees that all information provided by the other party and identified as “confidential” will be treated as such, and the receiving party shall not make any use of such information other than with respect to this Agreement.
（訳）：
各当事者は、本契約により、他の当事者によって提供され「機密」として指定されたすべての情報がそのように扱われることに同意し、受領当事者は、本契約に関連する目的以外で、当該情報を使用してはならない。
（注）：

＊be treated as suchは、そのように扱われるという意味です。
＊the receiving partyは、受領当事者という意味です。
３）shall not（決して～ない）– 例文③
責任制限条項（Limitation of Liability）からです。結果的・間接的損害の責任の否定の強調です。決して～ないは、青字のようにないものとすると訳すこともできます。
With the exception of liability relating to intellectual property, Seller shall not be liable to Buyer for any consequential or indirect damages that Buyer may suffer in relation to the Products, including, but not limited to, lost profits, lost revenues, lost business chance, loss of use of the Products, and loss of use of other products or facilities.
（訳）：
知的財産権に関する責任を除き、売主は、買主に対し、製品に関係して買主が被る結果的または間接的な損害（逸失利益、逸失収入、ビジネスチャンスの損失、製品の使用損失および他の製品または施設の使用に係る損失が含まれるが、それらに限定されない）については、責任を負わないものとする。
（注）：
＊consequential or indirect damagesは、結果的または間接的な損害という意味です。詳しくは、consequential damagesとpunitive damagesの意味と例文をご覧ください。
＊in relation toは、 に関係して、との関係でという意味です。
＊including, but not limited toは、～が含まれるが、それらに限定されないという意味です。詳しくは、including, but not limited to/including, without limitationの意味と例文をご覧ください
＊lost profitsは、逸失利益という意味です。
４）shall not（決して～ない）– 例文④
Waiver（権利放棄条項)からです。契約のいずれかの条件の権利放棄は、決して他の条件の権利放棄ではないという否定の強調ですが、青字のようにないものとすると訳すこともできます。
Any waiver of any terms and conditions hereof must be in writing and signed by the parties hereto. The waiver of any of the terms and conditions of this Agreement shall not be construed as a waiver of any subsequent breach of the same or any other terms and conditions hereof.
（訳）：
本契約のいかなる条件の権利放棄も書面で行い、本契約の当事者によって署名されなければならない。 本契約のいかなる条件の権利放棄も、本契約の同じ条件のその後の違反、または本契約の他の条件のその後の違反の権利放棄とは解釈されないものとする。
（注）：
