英文契約書のIT関係の秘密保持契約で見かける表現のunaided memoryについて解説します。例文をとりあげ、要点と対訳と語注をつけました。
１．解説：
１）unaided memoryとは
IT関係の秘密保持契約において、unaided memoryの表現が使われることがあります。
unaided memoryは、
純粋な記憶
と訳されたりします。
直訳すると、補助されない記憶ですが、具体的には
（メモ、資料、記録媒体などの）記録補助手段に頼らない、純粋に人の頭の中に残っている記憶
のことを指します。
２）unaided memoryが使われる場面
unaided memoryは、秘密保持契約の
の中で出てくる表現です。
以下のように使われます。（青字部分です）
『秘密情報の開示を受けた受領者の従業員の純粋な記憶（unaided memory）に残る残留情報＊については、受領者は、自由に利用することができる』（英文契約書からの例文②をご覧ください）
＊上記の残留情報とは：
開示者の秘密情報にアクセスした受領者の従業員の記憶に残るアイデアやノウハウのような情報
のことを意味します。（英文契約書からの例文①をご覧ください）
秘密保持契約にResidual Information（残留情報条項）のような規定が入ると、
受領者が第三者から正当に取得した情報や公知情報などと同様に、
受領者の従業員の純粋な記憶（unaided memory）に残った残留情報が秘密情報に該当しない情報として扱われる
ことになります。
この規定があると、開示者にとっては、秘密保持契約そのものが無意味になるリスクがあるので注意する必要があります。
まとめると、秘密保持契約では、以下の二つの表現が使われることがあります。
residual information：残留情報
unaided memory：純粋な記憶

１）unaided memory – 例文①
Residual Information（残留情報条項）からです。残留情報とは、開示者の機密情報にアクセスした従業員の純粋な記憶（unaided memory）に残るアイデア、コンセプト等を意味します。
The term “Residual Information” means ideas, concepts, know-how, experience, techniques, or any combination thereof contained in Discloser’s Confidential Information that are retained in the unaided memory of Recipient’s employees as a result of access to that Confidential Information authorized under this Agreement. However, a person’s memory is not unaided if they intentionally memorize such Confidential Information so as to reduce it to a non-tangible form for the purpose of creating Residual Information.
（訳）：
「残留情報」の用語は、本契約に基づき承認された機密情報にアクセスした結果、受領者の従業員の純粋な記憶に残った、開示者の機密情報に含まれるアイデア、コンセプト、ノウハウ、経験、技術、またはそれらの組み合わせを意味する。 ただし、当該機密情報を意図的に記憶して、残留情報を作成するために具体的な形にしない場合は、その者の純粋な記憶ではない。

＊retained in the unaided memoryは、純粋な記憶に残ると訳しています。retainは、保持するという意味です。
＊Recipientは、受領者という意味です。
＊memory is not unaidedは、直訳すると記憶が補助されるですが、意訳（純粋な記憶ではない）しています。
＊intentionallyは、意図的にという意味です。
＊reduce it toは、ここでは、（当該機密情報）を～にする、～に変えるという意味です。
＊non-tangible formは、直訳すると無形のという意味ですが、意訳（具体的な形にしない）しています。
＊for the purpose ofは、～のために、～を目的にという意味です。
２）unaided memory – 例文②
Residual Information（残留情報条項）からです。機密情報の受領者は、従業員の純粋な記憶（unaided memory）に残る残留情報を自由に利用できます。
Each party acknowledges that the other may already possess or have developed products or services similar to or competitive with those of the other party disclosed in the Confidential Information. Further, either party shall be free to use for any purpose the residuals (defined below) resulting from access to or work with Confidential Information disclosed hereunder. The term “residuals” means information in non-tangible form which may be retained in the unaided memory by employees who have had access to the Confidential Information so long as such employees have not studied the information for the purpose of replicating the same from memory. Neither party shall have any obligation to limit or restrict the assignment of such employees or to pay royalties for any work resulting from the use of residuals. The party using any information that it claims to be residuals will have the burden of proving that the information constitutes residuals.
（訳）：
各当事者は、他方当事者が機密情報において開示された製品もしくはサービスと類似し、もしくは競合する製品もしくはサービスをすでに保有し、または開発している可能性があることを認識する。さらに、いずれの当事者も、本契約に従って開示された機密情報へのアクセスまたは機密情報の取り扱いから生じる残留情報（以下に定義する）をいかなる目的にも自由に使用できるものとする。「残留情報」の用語は、機密情報にアクセスした従業員が記憶から複製することを目的として情報を調査していなかったことを条件に、その従業員の純粋な記憶に残った無形の情報を意味する。いずれの当事者も、当該従業員の業務割り当てに制限を設けたり、残留情報の使用による業務についてロイヤリティーを支払う義務を負わないものとする。残留情報であると主張する情報を使用する当事者は、その情報が残留情報にあたることを立証する責任を負う。
