英文契約書の期限に関する表現のひとつであるwithin a reasonable timeについて、とりあげます。 併せて、例文をとりあげ対訳をつけました。例文中のその他の基本表現に注記を入れました。
１．解説：
英文契約書には、期限に表す表現がいくつかあります。
within a reasonable timeは、合理的な時間内にという意味です。
forthwith（直ちに）などと比べると、期限の緊急性が低い表現です。
期限の緊急性は、without delay（遅滞なく）と同じ程度です。（以下の英文契約書の例文①と例文②ご覧ください）
期限の緊急性の程度については、具体的に何日なのかをめぐって争いが生じる可能性もありますので、可能であれば、具体的な日程を記載することが望ましいといえます。

２．例文と基本表現：

１）within a reasonable time（合理的な時間内に）- 例文①
商品の性質上、修理は、合理的な時間内に完了するものとします。
Any repair or replacement shall be completed within a reasonable time and without any significant inconvenience to the Company, taking account of the nature of the goods and the purpose for which they are required by the Company
（訳）：
修理又は交換は、商品の性質と会社が要求する目的を考慮して、合理的な時間内に、会社に大きな不便をかけずに完了するものとする。
（注）：
＊without any significant inconvenience toは、に大きな不便をかけずにという意味です。
＊taking account ofは、を考慮してという意味です。
２）within a reasonable time（合理的な時間内に）- 例文②
納期の日付の指定がない場合、商品の納期は合理的な時間内となります。
Any dates specified by the Company for delivery of the Goods are intended to be an estimate and the time of delivery is not of the essence. If no dates are so specified, delivery shall be within a reasonable time.
（訳）：
商品の納期についての会社の日付は、目安であり、納期の日付は厳格のなものではない。日付の指定がない場合、納期は合理的な時間内としなければならない。
（注）：
＊are intended to beは、～することを意図しているという意味ですが、（目安）でありと意訳しています。
＊is not of the essenceは、（納期）は厳格のなものではないという意味です。
