Notice（通知条項）とは、
契約の相手方に対する通知の効力が発生する時期、通知の方法・手段、通知の宛先の所在などを定めた一般条項
のことをいいます。
Notice（通知条項）は、契約の法的効力の発生に関係します。
したがって、当事者の相手方との間で、たとえば、以下のような場面で、重要な意味を持つことになります。
・クレームの発生、不可抗力事由の発生、契約の譲渡など、契約履行に係る重大事項の発生を相手方に知らせる
・契約の不履行による解除を相手方に意思表示する
・契約の自動更新や更新拒絶の意思表示をする
２）Notice（通知条項）の内容
Notice（通知条項）で規定される主な項目は、以下とおりです。

１） Notice（通知条項）の例文①
直接手渡し、営業時間内のメール又はファクシミリ、書留や配達証明付き等の郵便は5日経過後、宅配便は1日経過後に通知が有効になるとしています。
All notices and other communications given or made pursuant to this Agreement shall be in writing and shall be deemed effectively given: (a) upon personal delivery to the party to be notified, (b) when sent by confirmed electronic mail or facsimile if sent during normal business hours of the recipient, and if not so confirmed, then on the next business day, (c) five (5) days after having been sent by registered or certified mail, return receipt requested, postage prepaid, or (d) one (1) day after deposit with a nationally recognized overnight courier, specifying next day delivery, with written verification of receipt. All communications shall be sent:

２） Notice（通知条項）の例文②
例文①と似た通知ですが、郵便は48時間後に通知が有効になるとしています。
Any notice required or permitted by this Agreement shall be in writing and shall be deemed sufficient upon receipt, when delivered personally or by courier, overnight delivery service or confirmed facsimile, or 48 hours after being deposited in the U.S. mail as certified or registered mail with postage prepaid, if such notice is addressed to the party to be notified at such party’s address or facsimile number as set forth below or as subsequently modified by written notice.

All notices, requests, demands and other communications hereunder shall be in writing and shall be deemed to have been given: (i) when delivered personally, (ii) the next Business Day, if sent by a nationally-recognized overnight delivery service (unless the records of the delivery service indicate otherwise), (iii) three Business Days after deposit in the United States mail, certified and with proper postage prepaid, addressed as follows; or (iv) upon delivery if sent by electronic mail or facsimile during a Business Day (or on the next Business Day if sent by electronic mail or facsimile after the close of normal business hours or on a non-Business Day):
