１．解説：
１）Term/Duration（契約期間条項）とTerm and Renewal（契約期間の更新条項）について
Term/Duration（契約期間条項）は、文字どおり、契約の期間を定めた契約条文です。
その内容は、大きく、
・一定期間の契約期間をもって終了とする場合
・契約期間の更新を定める場合
に区別されます。
Term and Renewal（契約期間と更新）とは、
後者の契約期間の更新を定めた場合に、見出しタイトルとして付けられることがある契約期間の更新条項
のことをいいます。
２）契約期間の更新
Term and Renewal（契約期間と更新）において契約期間の更新を定めた場合、更新方法は、以下の三つのパターンがあります。
①自動更新
②両当事者又は一方当事者による更新
③両当事者の協議による更新
Distribution Agreement（販売店契約）や、
License Agreement（ライセンス契約）など
では、契約期間の更新について上記①の自動更新を定めたものが多く見られます。
下記の例文①と例文②は、契約期間を自動更新としています。
２．例文と基本表現：

１）Term and Renewal（契約期間と更新）– 例文①
３年間の契約期間、但し、当初の期間または更新期間の満了60日前までに終了通知しない限り、自動更新です。
Term and Renewal.
The Term of this Agreement shall be for an initial period of three (3) years after the Effective Date of this Agreement and shall be automatically renewed for any successive period, provided that neither Seller nor Purchaser shall have given notice of termination of this Agreement sixty (60) days before the end of the initial term or any renewal term, or unless otherwise terminated in accordance with this Agreement.

契約期間と更新
本契約の期間は、本契約の発効日から当初3年間とし、売主、買主どちらかが契約の終了通知を、当初の期間又は更新期間の満了60日前に行わなかった場合、又は本契約に従って別途解除されない限り、引き続き自動的に更新されるものとする。
（注）：
＊initial periodは、当初の期間という意味ですが、ここでは当初と訳しています。後に出てきますが、initial term（当初の期間）もよく使われます。
＊Effective Dateは、発効日という意味です。詳しくは、the date hereofとthe effective date hereofの意味と例文をご覧ください。
＊be automatically renewed for any successive periodは、直訳するとbe automatically renewed（自動的に更新される）とfor any successive period（後続の期間）ですが、引き続き自動的に更新されるに意訳しています。
＊provided thatは、～の場合に限ってという意味です。 詳しくは、provided thatとprovided, however, thatの意味と例文をご覧ください。
＊terminationは、（契約の）終了という意味です。
＊the initial term or any renewal termは、当初の期間又は更新期間という意味です。
＊unless otherwiseは、別途～でない限りという意味です。詳しくは、unless otherwiseの関連表現と例文をご覧ください
＊in accordance withは、～に従ってという意味です。同様の意味をもつ表現であるpursuant toもよく使われます。
２）term and renewal（契約期間と更新）– 例文②
３年間の契約期間、その後は更新期間の満了120日前までに終了通知しない限り、２年毎の自動更新です。
Term and Renewal.
This Agreement shall become effective upon its execution by both Distributor and the Company and shall remain in full force and effect for an initial term of three (3) years (Initial Term). Thereafter, this Agreement shall be automatically renewable every two (2) years (Renewal Term), unless at least 120 days prior to the expiration of any Renewal Term, Distributor provides written notice to the Company of its intent to terminate the Agreement, whereupon said Agreement will terminate 120 days thereafter.

本契約は、販売店と当社の両方が調印した時点で有効になり、当初の3年間（当初期間）は引き続き有効とする。その後、本契約は、2年（更新期間）毎に自動的に更新されるものとする。ただし、更新期間の満了の少なくとも120日前に、販売店が本契約の終了を当社に書面で通知した場合、本契約はその後120日で終了する。

＊be automatically renewableは、自動的に更新されるという意味です。
＊expirationは、（契約期間の）満了という意味です。解除により契約が終了するときに使うtermination（契約解除）との区別に注意しましょう。
＊whereuponは、immediately after which（するとすぐ）の意味ですが、訳は略しています。
