１．解説：
best effortsと
reasonable efforts
は、契約履行するときの努力義務の表現です。
それぞれ、
best effortsは、best endeavorsに
reasonable effortsは、reasonable endeavorsに
の表現に置き換えることもできます。
１）use its best efforts
use its best effortsは、
最善の努力をする、最大限の努力をする
と訳されます。
不可能な事は期待されないまでも、あらゆる手段を講ずる努力を求められています。
use its best effortsの表現は、契約履行が問題となった際に、
努力の証明ができなかった場合には、履行違反に問われる可能性
があり、注意する必要があります。
２）use its reasonable efforts
use its reasonable effortsは、
合理的な努力をする
と訳されます。
できる範囲のことはやるという意図があります。
use its best effortsよりも、契約履行の努力義務は軽くなります。
３）use commercially reasonable efforts
他に、use commercially reasonable efforts の表現があります。
use commercially reasonable effortsは、
商業的に合理的な努力をする、商取引上の合理的な努力をする
と訳されます。
その業界において相当と考えられる範囲のことはするという意図があります。
use its best effortsよりも、努力義務の程度、度合いは軽くなります。
４）使い方
これら
use its best efforts（最善の努力をする）
use its reasonable efforts（合理的な努力をする）
use commercially reasonable efforts（商業的に合理的な努力をする）
の表現形式は、英文契約書のさまざまな場面に使われます。
たとえば：
契約が意図する取引の完了努力（下記の例文①、例文③、例文④をご覧ください）、
規制当局の承認の取得努力、
資金の確保努力、
販売遂行の受託努力、
ソフトウエアの開発努力、
雇用契約に基づく労働努力、
などです。
あるいは、長期売買契約において、
買主が売主に対し製品の販売促進の努力義務を、売主が買主に対し製品の安定納入の努力義務を課す
のに、これらの表現が使われたりします。
Force Majeure（不可抗力条項）でも、
不可抗力が発生した場合に、影響を受けた当事者は、その影響を最小限にするべきとの努力義務を課す
のに、これらの表現が使われます。（例文②をご覧ください）
なお、Force Majeure（不可抗力条項）とは、
当事者の責に帰せられない不可抗力の状況が起きた場合に、契約の履行が不可能となった当事者が免責される
ことを定めた契約条項のことをいいます。
２．例文と基本表現：

１）use its best efforts（最善の努力をする） の例文①
契約が意図する取引の完了のため、当事者は、最善の努力をする義務を負います。
Subject to the terms and conditions herein provided, each party shall use its best efforts to perform or fulfill all conditions and obligations to be performed or fulfilled by it under this Agreement so that the transactions contemplated hereby shall be consummated as soon as practicable.
（訳）：
本契約の条件に従って、各当事者は、本契約で意図する取引が可及的速やかに完了するよう、本契約に基づき履行されるべき、すべての条件及び義務を履行するため最善の努力をするものとする。

２）use its best efforts（最善の努力をする） の例文②
不可抗力による損失を最小限にするため、当事者は、最善の努力をする義務を負います。
Subject to the provisions of this Article 12, the prevented Party may suspend the performance of its obligations under this Agreement within the duration and scope of the influence of Force Majeure until such influence is removed, provided, however, that such Party shall make its best efforts to eliminate the barriers in performing this Agreement caused by Force Majeure and minimize the losses resulting from Force Majeure.

Each of the Parties will use their reasonable efforts to take all action and to do all things necessary, proper, or advisable in order to consummate and make effective the transactions contemplated by this Agreement.
（訳）：
各当事者は、本契約が意図する取引を完了させ有効なものにするために、あらゆる行動をとり、必要、適切又は妥当な処置すべてを行うべく合理的な努力を払う。

契約が意図する取引の完了のため、買主と売主は、商業的に合理的な努力をする義務を負います。
Subject to the terms and conditions of this Agreement, each of Buyer and Seller will use Commercially Reasonable Efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary or desirable to consummate the transactions contemplated by this Agreement.

本契約の条件に従って、買主と売主は、本契約が意図する取引の完了のため、商業的に合理的な努力を行い又は行いさせ、必要若しくは適切なあらゆる行動を実行し又は実行させるものとする。
