href=\"#aa\">\u4f8b\u6587\u2461<\/a>\u306f\u3001<strong><strong><strong>\u30a4\u30f3\u30b3\u30bf\u30fc\u30e0\u30ba<\/strong><\/strong><\/strong>\u306b\u3088\u3089\u305a\u3001<strong>Risk\uff08\u5371\u967a\u8ca0\u62c5\uff09<\/strong>\u306e\u79fb\u8ee2\u6642\u671f\u3092\u53d6\u308a\u6c7a\u3081\u3066\u3044\u307e\u3059\u3002<\/p>\r\n\r\n\r\n\r\n<p>\uff08\u6ce8\uff09\uff1a\u82f1\u6587\u5951\u7d04\u66f8\u306b\u3088\u304f\u51fa\u308b\u57fa\u672c\u8868\u73fe\u3092\u30cf\u30a4\u30e9\u30a4\u30c8\u3057\u3066\u8a9e\u6ce8\u3092\u3064\u3051\u3066\u3044\u307e\u3059\u3002<\/p>\r\n\r\n\r\n\r\n<p class=\"has-pale-cyan-blue-background-color has-background\"><strong>\uff11\uff09Title and Risk\uff08\u6240\u6709\u6a29\u30fb\u5371\u967a\u8ca0\u62c5\u306e\u79fb\u8ee2\uff09\u2013 \u4f8b\u6587\u2460<\/strong><\/p>\r\n\r\n\r\n\r\n<p>Title\uff08\u6240\u6709\u6a29\uff09\u306e\u79fb\u8ee2\u306f\u3001\u5f15\u304d\u6e21\u3057\u53c8\u306f\u4ee3\u91d1\u306e\u652f\u6255\u3044\u3067\u3059\u304c\u3001Risk\uff08\u5371\u967a\u8ca0\u62c5\uff09\u306e\u79fb\u8ee2\u306f\u3001\u5f15\u6e21\u3057\u3067\u3059\u3002Title\uff08\u6240\u6709\u6a29\uff09\u306e\u4ee3\u308f\u308a\u306b\u3001<strong><span class=\"tadv-color\" style=\"color: #0693e3;\">the property\uff08\u6240\u6709\u7269\uff09<\/span><\/strong>\u306e\u7528\u8a9e\u3067\u8868\u8a18\u3057\u3066\u3044\u307e\u3059\u3002<\/p>\r\n\r\n\r\n\r\n<p><strong>Unless otherwise stated<\/strong> in the Contract, the Products shall become<strong> <span class=\"tadv-color\" style=\"color: #0693e3;\">the property <\/span><\/strong>of the Buyer<strong> free from<\/strong> <strong>liens<\/strong> and other <strong>encumbrances at whichever is the earlier of<\/strong>: (a) completion of delivery by the Seller in accordance with the delivery terms of the Contract; or (b) when the Seller <strong>is entitled to<\/strong> payment of the value of the Products under the Contract. <strong>Notwithstanding the foregoing<\/strong>, the Seller shall <strong>remain responsible for<\/strong> and shall <strong>bear<\/strong> <strong>any and all<\/strong> <strong><span class=\"tadv-color\" style=\"color: #0693e3;\">risk of loss<\/span><\/strong> of or damage to the Products until completion of delivery <strong>in accordance with <\/strong>the terms of the withstanding the foregoing<\/strong>\u306f\u3001<strong>\u524d\u8a18\u306b\u304b\u304b\u308f\u3089\u305a<\/strong>\u3068\u3044\u3046\u610f\u5473\u3067\u3059\u3002\u8a73\u3057\u304f\u306f\u3001<a href=\"https:\/\/keiyaku-office.biz\/blog\/notwithstanding-%e3%81%ae%e6%84%8f%e5%91%b3%e3%81%a8%e4%bd%bf%e3%81%84%e6%96%b9%ef%bd%9c%e8%8b%b1%e6%96%87%e5%a5%91%e7%b4%84%e6%9b%b8%e3%81%ae%e5%9f%ba%e6%9c%ac%e8%a1%a8%e7%8f%be\/\"><strong>notwithstanding Risk\uff08\u6240\u6709\u6a29\u30fb\u5371\u967a\u8ca0\u62c5\u306e\u79fb\u8ee2\uff09\u306f\u3001\u5f15\u6e21\u3057\u3067\u3059\u304c\u3001\u4ee3\u91d1\u306e\u652f\u6255\u3044\u5b8c\u4e86\u307e\u3067\u62c5\u4fdd\u304c\u4ed8\u7740\u3057\u3066\u3044\u307e\u3059\u3002<\/p>\r\n\r\n\r\n\r\n<p><strong><span class=\"tadv-color\" style=\"color: #0693e3;\">Title and Risk of Loss<\/span><\/strong> shall <strong>pass<\/strong> when the Products are delivered. Seller shall <strong>retain<\/strong> a <strong>security interest<\/strong> in the products and their <strong>proceeds<\/strong> <strong>until paid in full<\/strong>.<\/p>\r\n\r\n\r\n\r\n<p>\uff08\u8a33\uff09\uff1a<\/p>\r\n\r\n\r\n\r\n<p>\u88fd\u54c1\u304c\u5f15\u6e21\u3057\u3055\u308c\u305f\u6642\u70b9\u3067\u3001<strong><span class=\"tadv-color\" style=\"color: #0693e3;\">\u6240\u6709\u6a29\u3068\u5371\u967a\u8ca0\u62c5<\/span><\/strong>\u306f<strong>\u79fb\u8ee2\u3059\u308b<\/strong>\u3082\u306e\u3068\u3059\u308b\u3002 \u58f2\u4e3b\u306f\u3001<strong>\u4ee3\u91d1\u306e\u5168\u984d\u304c\u652f\u6255\u308f\u308c\u308b\u307e\u3067<\/strong>\u3001\u88fd\u54c1\u53ca\u3073\u305d\u306e<strong>\u53ce\u76ca<\/strong>\u306b\u5bfe\u3059\u308b<strong>\u62c5\u4fdd\u6a29<\/strong>\u3092<strong>\u6709\u3059\u308b<\/strong>\u3082\u306e\u3068\u3059\u308b\u3002<\/p>\r\n\r\n\r\n\r\n<p>\uff08\u6ce8\uff09\uff1a<\/p>\r\n\r\n\r\n\r\n<p><strong><strong>\uff0a<\/strong>pass<\/strong>\u306f\u3001<strong>\u79fb\u8ee2\u3059\u308b<\/strong>\u3068\u3044\u3046\u610f\u5473\u3067\u3059\u3002<\/p>\r\n\r\n\r\n\r\n<p><strong><strong>\uff0a<\/strong>retain<\/strong>\u306f\u3001<strong><strong>\u6709\u3059\u308b<\/strong><\/strong>\u3068\u3044\u3046\u610f\u5473\u3067\u3059\u3002<\/p>\r\n\r\n\r\n\r\n<p><strong><strong>\uff0a<\/strong>security interest<\/strong>\u306f\u3001<strong>\u62c5\u4fdd\u6a29<\/strong>\u3068\u3044\u3046\u610f\u5473\u3067\u3059\u3002<\/p>\r\n\r\n\r\n\r\n<p><strong><strong>\uff0aproceeds<\/strong><\/strong>\u306f\u3001<strong>\u53ce\u76ca<\/strong>\u3068\u3044\u3046\u610f\u5473\u3067\u3059\u3002\u8907\u6570\u5f62\u3067\u4f7f\u7528\u3055\u308c\u307e\u3059\u3002<\/p>\r\n\r\n\r\n\r\n<p><strong><strong>\uff0auntil paid in full<\/strong><\/strong>\u306f\u3001\u3053\u3053\u3067\u306f<strong><strong>\u4ee3\u91d1\u306e\u5168\u984d\u304c\u652f\u6255\u308f\u308c\u308b\u307e\u3067<\/strong><\/strong>\u3068\u3044\u3046\u610f\u5473\u3067\u3059\u3002<strong>pay in full\uff08\u5168\u984d\u3092\u652f\u6255\u3046\uff09<\/strong>\u306f\u3001\u58f2\u8cb7\u5951\u7d04\u306a\u306e\u3067\u3001\u3088\u304f\u4f7f\u308f\u308c\u308b\u5951\u7d04\u8868\u73fe\u3067\u3059\u3002<\/p>\r\n<p><span style=\"text-decoration: underline; background-color: #ccffff;\"><strong><a id=\"b\"><\/a>\uff13\uff09Title and Risk\uff08\u6240\u6709\u6a29\u30fb\u5371\u967a\u8ca0\u62c5\u306e\u79fb\u8ee2\uff09\u2013 \u4f8b\u6587\u2462<\/strong><\/span><\/p>\r\n<p><strong>\u88fd\u54c1\u306e\u5f15\u304d\u6e21\u3057\u3067\u5371\u967a\u8ca0\u62c5\u306f\u79fb\u8ee2\u3059\u308b\u304c\u3001<span style=\"background-color: #ffff99;\">\u4ee3\u91d1\u5168\u984d\u652f\u6255\u308f\u308c\u308b\u307e\u3067\u6240\u6709\u6a29\u306f\u58f2\u4e3b\u306b\u7559\u4fdd\u3055\u308c\u3001\u8cb7\u4e3b\u306f\u88fd\u54c1\u306e\u8ee2\u58f2\u3092\u5236\u9650\u3055\u308c\u308b<\/span><\/strong>\u30b1\u30fc\u30b9\u3067\u3059\u3002<\/p>\r\n<p><span style=\"color: #3366ff;\"><strong>Title and Risk of Loss<\/strong><\/span> shall pass when the Products are delivered to Buyer. Notwithstanding the foregoing, <strong>legal title<\/strong> to the Products shall remain with Seller until Seller has received <strong>full payment for the Products<\/strong>. Until such full payment, Buyer shall hold the Products as <strong>bailee for Seller<\/strong> and shall not sell, <strong>dispose of<\/strong>, or <strong>encumber<\/strong> the Products <strong>without Seller\u2019s prior written consent<\/strong>.<\/p>\r\n<p>\uff08\u8a33\uff09\uff1a<\/p>\r\n<p><span style=\"color: title\uff1a\u6cd5\u7684\u6240\u6709\u6a29<\/strong>\u3068\u3044\u3046\u610f\u5473\u3067\u3059\u3002\u5358\u306b<strong>title<\/strong>\u3068\u3059\u308b\u3053\u3068\u3082\u591a\u3044\u3067\u3059\u304c\u3001\u3088\u308a\u660e\u78ba\u306b\u3059\u308b\u969b\u306b\u4f7f\u308f\u308c\u307e\u3059\u3002<\/p>\r\n<p><strong>\uff0afull payment for the Products\uff1a\u88fd\u54c1\u306e\u5168\u984d\u652f\u6255\u3044<\/strong>\u3068\u3044\u3046\u610f\u5473\u3067\u3059\u3002<\/p>\r\n<p><strong>\uff0abailee for Seller\uff1a\u58f2\u4e3b\u306e\u305f\u3081\u306e\u53d7\u8a17\u8005<\/strong>\u3068\u3044\u3046\u610f\u5473\u3067\u3059\u3002<strong>\u8cb7\u4e3b\u304c\u58f2\u4e3b\u306e\u4ee3\u7406\u3068\u3057\u3066\u88fd\u54c1\u3092\u7ba1\u7406\u3059\u308b\u7acb\u5834\u306b\u3042\u308b<\/strong>\u3053\u3068\u3092\u793a\u3057\u307e\u3059\u3002\u3053\u308c\u306b\u3088\u308a\u3001<strong>\u4ee3\u91d1\u652f\u6255\u3044\u524d\u306e\u8cb7\u4e3b\u306b\u3088\u308b\u88fd\u54c1\u306e\u53d6\u308a\u6271\u3044\u306b\u5bfe\u3059\u308b\u58f2\u4e3b\u306e\u6a29\u5229\u304c\u5f37\u5316<\/strong>\u3055\u308c\u307e\u3059\u3002<\/p>\r\n<p><strong>\uff0adispose
