class=\"wp-block-heading\"><strong>\u610f\u5473\u5408\u3044\uff1a<\/strong><\/h3>\n\n\n\n<p>\u3042\u308b\u4e8b\u5b9f\u3084\u884c\u70ba\u304c\u3001<strong>\u300c\u6cd5\u7684\u306b\u898b\u3066\u7279\u5b9a\u306e\u72b6\u614b\uff08\u9055\u53cd\u3084\u5408\u610f\u306a\u3069\uff09\u3092\u6210\u7acb\u3055\u305b\u308b\u300d<\/strong>\u3053\u3068\u3092\u6307\u3057\u307e\u3059\u3002<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>\u203b \u6bd4\u8f03\u89e3\u8aac\uff08\u5b9f\u52d9\u7684\u6df1\u6398\u308a\uff09\uff1a<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>be \u3068\u306e\u6bd4\u8f03: <\/strong>\u5358\u306a\u308b <strong>is<\/strong>\uff08\uff1d\u3067\u3042\u308b\uff09\u3088\u308a\u3082\u3001\u300c\u305d\u306e\u884c\u70ba\u304c\u6cd5\u7684\u306a\u52b9\u679c\uff08\u4f8b\uff1a\u89e3\u9664\u6a29\u306e\u767a\u751f\uff09\u3092\u5f15\u304d\u8d77\u3053\u3059\u539f\u56e0\uff08\u8981\u4ef6\uff09\u3092\u6e80\u305f\u3057\u3066\u3044\u308b\u300d\u3068\u3044\u3046<strong>\u6cd5\u7684\u306a\u8a55\u4fa1\u30fb\u65ad\u5b9a<\/strong>\u306e\u30cb\u30e5\u30a2\u30f3\u30b9\u304c\u5f37\u3044\u52d5\u8a5e\u3067\u3059\u3002<\/li>\n\n\n\n<li><strong>\u9055\u53cd\u306e\u5b9a\u7fa9: <\/strong>\u300c\u3053\u306e\u4e0d\u5c65\u884c\u306f\u300e\u91cd\u5927\u306a\u9055\u53cd\uff08material breach\uff09\u300f\u3092<strong>\u69cb\u6210\u3059\u308b\uff08\uff1d\u3042\u305f\u308b\uff09<\/strong>\u300d\u3068\u66f8\u304f\u3053\u3068\u3067\u3001\u89e3\u9664\u3084\u640d\u5bb3\u8ce0\u511f\u306e\u76f4\u63a5\u7684\u306a\u5f15\u304d\u91d1\uff08\u30c8\u30ea\u30ac\u30fc\uff09\u3067\u3042\u308b\u3053\u3068\u3092\u660e\u793a\u3057\u307e\u3059\u3002<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>\u7528\u6cd5\uff1a<\/strong><\/h3>\n\n\n\n<p>\u4e3b\u306b <strong>\u4e0d\u5c65\u884c\u30fb\u89e3\u9664\u6761\u9805\uff08Default \/ Termination Clause\uff09<\/strong> \u3084 <strong>\u4e00\u822c\u6761\u9805 <\/strong>\u3067\u4f7f\u7528\u3055\u308c\u307e\u3059\u3002<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>\uff08\u9055\u53cd\u4e8b\u7531\u306e\u78ba\u5b9a\uff09: <\/strong>\u7279\u5b9a\u306e\u884c\u70ba\u304c\u50b5\u52d9\u4e0d\u5c65\u884c\u3084\u91cd\u5927\u306a\u9055\u53cd\u306b<strong>\u8a72\u5f53\u3059\u308b<\/strong>\u3053\u3068\u3092\u898f\u5b9a\u3059\u308b\u3002<\/li>\n<\/ol>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>\u4f8b\u65871\uff08\u50b5\u52d9\u4e0d\u5c65\u884c\u6761\u9805\uff1aEvent of Default Clause \u304b\u3089\uff09\uff1a<\/strong><\/h3>\n\n\n\n<p>Any failure by the Borrower to maintain the required financial covenants shall <strong>constitute<\/strong> an event of default under this Agreement.<\/p>\n\n\n\n<p>\uff08\u8a33\uff09 \u501f\u4e3b\u304c\u8981\u6c42\u3055\u308c\u308b\u8ca1\u52d9\u4e0a\u306e\u8a93\u7d04\u4e8b\u9805\u3092\u9075\u5b88\u3057\u306a\u304b\u3063\u305f\u5834\u5408\u3001\u672c\u5951\u7d04\u306b\u304a\u3051\u308b\u50b5\u52d9\u4e0d\u5c65\u884c\u4e8b\u7531\u306b<strong>\u8a72\u5f53\u3059\u308b\uff08\u3092\u69cb\u6210\u3059\u308b\uff09<\/strong>\u3082\u306e\u3068\u3059\u308b\u3002<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>\u4f8b\u65872\uff08\u89e3\u9664\u6761\u9805\uff1aTermination Clause \u304b\u3089\uff09\uff1a<\/strong><\/h3>\n\n\n\n<p>An unauthorized change to the Software by the Licensee shall <strong>constitute<\/strong> a material breach of this Agreement, entitling the Licensor to terminate this Agreement immediately.<\/p>\n\n\n\n<p>\uff08\u8a33\uff09 \u30e9\u30a4\u30bb\u30f3\u30b7\u30fc\u306b\u3088\u308b\u30bd\u30d5\u30c8\u30a6\u30a7\u30a2\u3078\u306e\u7121\u65ad\u6539\u5909\u306f\u3001\u672c\u5951\u7d04\u306e\u91cd\u5927\u306a\u9055\u53cd\u306b<strong>\u3042\u305f\u308b\uff08\u3092\u69cb\u6210\u3059\u308b\uff09<\/strong>\u3082\u306e\u3068\u3057\u3001\u30e9\u30a4\u30bb\u30f3\u30b5\u30fc\u306f\u672c\u5951\u7d04\u3092\u76f4\u3061\u306b\u89e3\u9664\u3059\u308b\u6a29\u5229\u3092\u6709\u3059\u308b\u3002<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>\u3010\u6ce8\u8a18\u3011<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>financial covenants: \u8ca1\u52d9\u5236\u9650\u6761\u9805\uff08\u8ca1\u52d9\u4e0a\u306e\u8a93\u7d04\uff09\u3002<\/strong><\/li>\n\n\n\n<li><strong>material breach: \u91cd\u5927\u306a\u5951\u7d04\u9055\u53cd\u3002<\/strong><\/li>\n\n\n\n<li><strong>entitling \u2026 to:
