Interpretation)\uff1a<\/strong><\/h3>\n\n\n\n<p>\u5951\u7d04\u306e\u300c\u5c65\u884c\uff08performance\uff09\u300d\u306e\u6838\u5fc3\u3068\u306a\u308b\u8868\u73fe\u3067\u3059\u3002\u5168\u3066\u306e\u7fa9\u52d9\u3092 fulfill \u3059\u308b\u3053\u3068\u306f\u3001\u5951\u7d04\u306e\u7d42\u4e86\uff08\u81ea\u7136\u6d88\u6ec5\uff09\u306b\u7e4b\u304c\u308a\u307e\u3059\u304c\u3001\u9006\u306b\u3053\u308c\u3092\u6020\u308b\uff08fail to fulfill\uff09\u3053\u3068\u306f<strong>\u300c\u50b5\u52d9\u4e0d\u5c65\u884c\uff08Breach of Contract\uff09\u300d<\/strong>\u3092\u69cb\u6210\u3057\u3001\u640d\u5bb3\u8ce0\u511f\u3084\u5951\u7d04\u89e3\u9664\u306e\u76f4\u63a5\u306e\u539f\u56e0\u3068\u306a\u308a\u307e\u3059\u3002<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>\u5b9f\u52d9\u306e\u30d2\u30f3\u30c8 (Practical Tip)\uff1a<\/strong><\/h3>\n\n\n\n<p>\u5951\u7d04\u66f8\u3067\u306f\u3001\u4f8b\u6587\u306e\u3088\u3046\u306b &#8220;fails to fulfill its obligations&#8221;\uff08\u7fa9\u52d9\u3092\u5c65\u884c\u3057\u306a\u3044\uff09\u3068\u3044\u3046<strong>\u5426\u5b9a\u5f62\uff08\u9055\u53cd\u306e\u5b9a\u7fa9\uff09<\/strong>\u3068\u3057\u3066\u767b\u5834\u3059\u308b\u3053\u3068\u304c\u975e\u5e38\u306b\u591a\u3044\u3067\u3059\u3002\u5b9f\u52d9\u4e0a\u306f\u3001\u3069\u306e\u7a0b\u5ea6\u306e\u4e0d\u5c65\u884c\u304c\u89e3\u9664\u306b\u76f4\u7d50\u3059\u308b\u304b\u3092\u5b9a\u3081\u308b\u305f\u3081\u3001\u8efd\u5fae\u306a\u9055\u53cd\uff08minor breach\uff09\u3068\u91cd\u5927\u306a\u9055\u53cd\uff08material obligations\uff1a<\/strong>\u81ea\u3089\u306e\u7fa9\u52d9\u3092\u5c65\u884c\u3057\u306a\u3044\u3002\u672c\u5951\u7d04\u306e\u6839\u5e79\u306b\u95a2\u308f\u308b<strong>\u300c\u7d04\u675f\u9055\u53cd\u300d\u304c\u767a\u751f\u3057\u305f\u3053\u3068<\/strong>\u3092\u6761\u4ef6\u3068\u3057\u3066\u63d0\u793a\u3057\u3066\u3044\u307e\u3059\u3002<\/li>\n\n\n\n<li><strong>non-breaching
