class=\"wp-block-heading\"><strong>\u7528\u6cd5\uff1a<\/strong><\/h3>\n\n\n\n<p><strong>Representations and Warranties\uff08\u8868\u660e\u4fdd\u8a3c\u6761\u9805\uff09<\/strong> \u306b\u304a\u3044\u3066\u3001\u8b72\u6e21\u5bfe\u8c61\u7269\u306e\u6cd5\u7684\u306a\u5b89\u5168\u6027\u3092\u4fdd\u8a3c\u3059\u308b\u305f\u3081\u306b\u4f7f\u308f\u308c\u307e\u3059\u3002<strong>\u300c\u53d6\u5f15\u306e\u6839\u5e79\u3068\u306a\u308b\u6a29\u5229\u306e\u6b63\u5f53\u6027\u300d<\/strong>\u3092\u62c5\u4fdd\u3059\u308b\u5f79\u5272\u3092\u6301\u3061\u307e\u3059\u3002<\/p>\n\n\n\n<h3 Warranties\uff09\u3088\u308a\u3011 <\/strong><br>The Seller represents and warrants that it has <strong>good and marketable title<\/strong> to the Assets, free and clear of all liens, and has the full right and authority to transfer such title to The Buyer.<\/p>\n\n\n\n<p>\uff08\u65e5\u672c\u8a9e\u8a33\uff09 right and
