class=\"wp-block-heading\"><strong>\u610f\u5473\u5408\u3044\uff1a<\/strong><\/h3>\n\n\n\n<p>\u5358\u306b\u4f55\u304b\u3092\u8ff0\u3079\u308b\u3060\u3051\u3067\u306a\u304f\u3001\u81ea\u5df1\u306e\u6a29\u5229\u3084\u6cd5\u7684\u5730\u4f4d\u3092<strong>\u300c\u5f37\u304f\u4e3b\u5f35\u3059\u308b\u300d\u300c\uff08\u6cd5\u7684\u624b\u6bb5\u3092\u8f9e\u3055\u306a\u3044\u5f62\u3067\uff09\u65ad\u8a00\u3059\u308b\u300d<\/strong>\u3068\u3044\u3046\u30cb\u30e5\u30a2\u30f3\u30b9\u3092\u542b\u307f\u307e\u3059\u3002\u7d1b\u4e89\u89e3\u6c7a\u3084\u77e5\u7684\u8ca1\u7523\u6a29\u306e\u6587\u8108\u306b\u304a\u3044\u3066\u3001\u7b2c\u4e09\u8005\u304c\u6a29\u5229\u4fb5\u5bb3\u3092\u8a34\u3048\u3066\u304f\u308b\uff08\u6a29\u5229\u3092\u4e3b\u5f35\u3057\u3066\u304f\u308b\uff09\u5834\u9762\u3084\u3001\u5f53\u4e8b\u8005\u304c\u88dc\u511f\u3092\u8acb\u6c42\u3059\u308b\u6a29\u5229\u3092\u884c\u4f7f\u3059\u308b\u5834\u9762\u3067\u591a\u7528\u3055\u308c\u307e\u3059\u3002<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>\u7528\u6cd5\uff1a<\/strong><\/h3>\n\n\n\n<p>\u4e3b\u306b <strong>\u77e5\u7684\u8ca1\u7523\u6a29\u6761\u9805\uff08Intellectual Property Clause\uff09<\/strong> \u3084 <strong>\u88dc\u511f\u6761\u9805\uff08Indemnification Clause\uff09 <\/strong>\u3067\u3001\u6a29\u5229\u306e\u4fb5\u5bb3\u4e3b\u5f35\u3084\u640d\u5bb3\u8ce0\u511f\u306e\u8acb\u6c42\u6a29\u306b\u95a2\u9023\u3057\u3066\u4f7f\u7528\u3055\u308c\u307e\u3059\u3002<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>\uff08\u7b2c\u4e09\u8005\u304b\u3089\u306e\u6a29\u5229\u4e3b\u5f35\uff09: <\/strong>\u7b2c\u4e09\u8005\u304c\u77e5\u7684\u8ca1\u7523\u6a29\u306e\u4fb5\u5bb3\u3092<strong>\u4e3b\u5f35\uff08assert\uff09<\/strong>\u3057\u3066\u304d\u305f\u969b\u306e\u901a\u77e5\u7fa9\u52d9\u3092\u5b9a\u3081\u308b\u3002\uff08\u4f8b\u6587\uff11\uff09<\/li>\n\n\n\n<li><strong>\uff08\u88dc\u511f\u8acb\u6c42\u306e\u884c\u4f7f\uff09: <\/strong>\u898f\u5b9a\u306e\u671f\u9593\u5185\u306b\u88dc\u511f\u3092<strong>\u4e3b\u5f35\u30fb\u8acb\u6c42\uff08assert\uff09<\/strong>\u3057\u306a\u304b\u3063\u305f\u5834\u5408\u306e\u6a29\u5229\u5931\u52b9\u306b\u3064\u3044\u3066\u5b9a\u3081\u308b\u3002\uff08\u4f8b\u6587\uff12\uff09<\/li>\n<\/ol>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>\u4f8b\u65871\uff08\u77e5\u7684\u8ca1\u7523\u6a29\u6761\u9805\u304b\u3089\uff09\uff1a<\/strong><\/h3>\n\n\n\n<p>The Licensee shall promptly notify the Licensor of any claim or threatened claim by a third party <strong>asserting<\/strong> that the Licensed Product infringes such third party&#8217;s intellectual property rights.<\/p>\n\n\n\n<p>\uff08\u8a33\uff09 \u30e9\u30a4\u30bb\u30f3\u30b7\u30fc\u306f\u3001\u30e9\u30a4\u30bb\u30f3\u30b9\u88fd\u54c1\u304c\u7b2c\u4e09\u8005\u306e\u77e5\u7684\u8ca1\u7523\u6a29\u3092\u4fb5\u5bb3\u3057\u3066\u3044\u308b\u65e8\u3092<strong>\u4e3b\u5f35\u3059\u308b<\/strong>\u5f53\u8a72\u7b2c\u4e09\u8005\u304b\u3089\u306e\u8acb\u6c42\u3001\u307e\u305f\u306f\u304b\u304b\u308b\u8acb\u6c42\u306e\u304a\u305d\u308c\u306b\u3064\u3044\u3066\u3001\u901f\u3084\u304b\u306b\u30e9\u30a4\u30bb\u30f3\u30b5\u30fc\u306b\u901a\u77e5\u3059\u308b\u3082\u306e\u3068\u3059\u308b\u3002<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>\u4f8b\u65872\uff08\u88dc\u511f\u6761\u9805\u304b\u3089\uff09\uff1a<\/strong><\/h3>\n\n\n\n<p>The Indemnified Party shall not <strong>assert<\/strong> any claim for indemnification if such claim is not made within the period specified in this Section.<\/p>\n\n\n\n<p>\uff08\u8a33\uff09 \u301c\u3067\u3042\u308b\u3068\u4e3b\u5f35\u3059\u308b\u3002<\/strong>\u5206\u8a5e\u69cb\u6587\u3068\u3057\u3066\u3001\u3069\u306e\u3088\u3046\u306a\u5185\u5bb9\u3092\u4e3b\u5f35\u3057\u3066\u3044\u308b\u304b\u3092\u8aac\u660e\u3059\u308b\u3002<\/li>\n\n\n\n<li><strong>threatened claim:
