１．解説：
１）the date hereofとは
英文契約書では、the date hereof とは、
the date of this agreement
のことを表します。
hereofは、of this agreement（本契約の）を意味します。
つまり、the date hereofは、
契約締結日、契約日
という意味になります。
２）the effective date hereofとは
the effective date hereofとは、
the effective date of this agreement
のことを表します。
the effective dateは、英文契約書の効力発生日、発効日を意味します。
そして、前述したように、hereofは、of this agreement（本契約の）を意味します。
つまり、the effective date hereofは、
契約の効力発生日、契約の発効日
という意味になります。

４）なぜ契約日と効力発生日が分かれるのか：実務上の注意点
通常、契約日と効力発生日は同じ日付に設定されることが多いですが、意図的にこの2つの日付を分ける場合があります。
この違いは、契約の法的義務がいつから開始するかという点で非常に重要です。
ア． the effective dateを設ける理由
契約日と効力発生日が異なる主な理由として、以下のようなケースが挙げられます。
遡及適用（retroactive effect）：
例えば、当事者間で既にビジネスが開始されているが、契約書の作成・レビューに時間がかかっている場合です。
この場合、両当事者が署名した日（the date hereof）からさかのぼって、特定の過去の日付（the effective date）から契約の効力を発生させることができます。
これにより、契約書がない期間のビジネス活動も法的保護下に置くことができます。
将来の日付（future date）:
例えば、契約の前提条件が満たされた後に効力を発生させる場合です。
第三者からの許可の取得や、特定のライセンスの付与など、契約署名時点では完了していない事項を効力発生の条件とすることができます。
この場合、すべての条件が満たされた日がthe effective dateとなります。
イ． 例文③にみる実務的な違い
例文③の条文を見てみましょう。
This Agreement shall commence on the Effective Date hereof and shall remain in full force and effect until completion of the Services…（本契約は、本契約の発効日に開始し、サービスが完了するまで、引き続き有効に存続する）
この条文では、契約の義務の開始日をthe Effective Date hereofと明確に定めています。
もし、この条項がcommence on the date hereofとなっていた場合、契約が署名された瞬間からサービス提供義務が発生することになり、準備期間が確保できず、一方の当事者が不利になる可能性があります。
the effective dateは、当事者が「いつから契約の法的義務を負うのか」をコントロールするための重要な概念です。
契約書をレビューする際には、冒頭の日付（the date hereof）だけでなく、本文中のeffective dateの定義や、それに紐づく条項を必ず確認する必要があります。
これにより、予期せぬタイミングで義務や責任が発生するリスクを回避できます。

本契約の期間は、本契約の発効日から5年間とし、第4条に従って本契約が終了しない限り、引き続き5年間づつの更新条件で、自動的に更新される。
