１．解説：
１） notwithstandingとは
notwithstanding ～は、～にもかかわらずという意味です。
前に述べられた事に対して、例外や優先される内容がある事を示します。
多くは、以下ような表現で使われます。
２） notwithstanding（にもかかわらず）を使った表現
notwithstanding（にもかかわらず）は、主に、以下の慣用表現で使われます。
・notwithstanding the above：
上記にかかわらずの意味です。（下記の例文①をご覧ください）
・notwithstanding the foregoing：
上記にかかわらずの意味です。（下記の例文②をご覧ください）
・notwithstanding any provision to the contrary：
別段の定めにかかわらず（反対の規定にかかわらず）の意味です。（下記の例文③をご覧ください）
・notwithstanding anything to the contrary：
別段の定めにかかわらず（反対の規定にかかわらず）の意味です。 （下記の例文④をご覧ください）

３）notwithstandingが契約交渉で重要な理由と注意点
notwithstandingという言葉は、契約書に「優越規定」（Override Clause）を設定するために不可欠なツールです。
これは、契約書内の特定の条項が、他の条項よりも優先されることを明確にするために使われます。
ア． 条項間の矛盾を解消し、解釈の統一性を保つ
英文契約書は、多くの条項やセクションで構成されており、複雑な内容になるにつれて、条項間で意図せず矛盾が生じる可能性があります。
例えば、ある条項で「すべての通知は書面で行うこと」と規定しているにもかかわらず、別の条項で「緊急の場合、口頭で通知できる」と規定されているとします。
このような場合、Notwithstanding any other provision herein to the contrary（本契約中の別段の定めにかかわらず）といったnotwithstandingを含む条項を設けることで、「例外」や「優先されるべきルール」を明確にすることができます。
これにより、将来的な解釈の混乱や紛争を予防する効果があります。
イ． 契約交渉におけるnotwithstandingの効果的な活用
notwithstandingは、自社に有利な条件を優先させるための強力な交渉ツールとなります。
自社が譲歩を迫られた場合:
例えば、相手方に「全責任を負う」という包括的な条項を飲まされたとします。
この時、Notwithstandingを使い、「本契約中の別段の定めにかかわらず、当社の賠償責任の上限は〇〇ドルとする」といった責任制限条項を挿入することで、リスクを管理できます。（例文③がこの良い例です）
特定のルールを適用したい場合:
例えば、秘密保持契約（NDA）の有効期間が終了しても、特定の機密情報については永久に秘密保持義務を負わせたい場合、notwithstandingを使って、「本契約の終了にかかわらず、秘密保持義務は引き続き有効である」という条項を明確にすることができます。（例文④がこれに当たります）
ウ． notwithstandingの乱用は避けるべき
notwithstandingは強力な表現であるため、乱用は避けるべきです。あまりに多くの条項にこの言葉を使うと、かえって契約書全体が複雑になり、どの規定が優先されるのかが不明確になる可能性があります。
原則として、notwithstandingは、条項間の矛盾が実際に発生する可能性が高い箇所や、法的リスクを限定したい重要な箇所に限定して使用すべきです。
２．例文と基本表現：

１）notwithstanding the above（上記にかかわらず）- 例文①
Notwithstanding the above, either Party may assign all of its rights and delegate all of its obligations under this Agreement without the consent of the other Party in the case of a merger or the sale of substantially all of the assets or stock of the assigning Party, provided that the assignee assumes all of the assigning Party‘s obligations under this Agreement.
（訳）：
上記にかかわらず、譲受人が本契約に基づく譲渡人の義務をすべて引き受けることを条件に、一方当事者は、合併または譲渡人の実質的なすべての資産もしくは株式の売却の場合、他方当事者の同意なしに、本契約に基づくすべての権利を譲渡し、すべての義務を委任することができる。
（注）：
＊assign all of its rightsは、assign（譲渡する）とall of its rights（すべての権利）で、すべての権利を譲渡するという意味です。
＊delegate all of its obligationsは、delegate（委任する）とall of its obligations（すべての義務）で、すべての義務を委任するという意味です。
＊the sale of substantially all of the assets or stock of the assigning Partyは、譲渡人の実質的にすべての資産もしくは株式の売却という意味です。
＊the assigneeは、譲受人という意味です。
＊the assigning Partyは、譲渡人という意味です。
２）notwithstanding the foregoing（上記にかかわらず）– 例文②
Notwithstanding the forgoing, if a party’s performance is delayed for a period exceeding thirty (30) days from the date the other party receives notice under this article, the non-breaching party will have the right, without any liability to the other party, to terminate this agreement.
（訳）：
上記に関わらず、当事者の履行が、本条に基づき相手方が通知を受領した日から30日を超えて遅延した場合、違反していない当事者は、相手方に対して一切の責任を負うことなく、本契約を解除する権利を有する。
（注）：
＊the non-breaching partyは、違反していない当事者という意味です。
＊without any liability to the other partyは、相手方に対して一切の責任を負うことなくという意味です。liability は法的責任を意味します。詳しくは、responsibilityとliability、obligationとdutyの意味と例文をご覧ください。
３）notwithstanding any provision to the contrary（別段の定めにかかわらず）- 例文③
In addition, notwithstanding any other provision herein to the contrary, Seller’s aggregate liability arising from transactions for the Product under this Agreement shall not exceed the total amount paid by Buyer to Seller for the Product under this Agreement.
（訳）：
さらに、本契約の別段の定めにかかわらず、本契約に基づく製品の取引から生じる売主の責任の合計額は、本契約に基づき製品に対して買主が売主に支払った合計額を超えないものとする。

＊aggregate liabilityは、責任の合計額という意味です。

４）notwithstanding anything to the contrary（別段の定めにかかわらず）– 例文④
Notwithstanding anything to the contrary contained herein, the NDA shall remain full force and effect in accordance with its terms.
（訳）：
本契約の別段の定めにかかわらず、秘密保持契約は、その条項に従って引き続き有効とする。

（訳）：
本第12条の上記の規定にもかかわらず、以下の商品は返品できず、払い戻しの対象外であり、在庫補充することができない。
