英文契約書で、訴訟・裁判に関する用語であるproceedingsについて解説します。併せて、例文をとりあげ対訳をつけました。例文中の他の基本表現に注記をしました。
１．解説：
１）proceedingsとは
proceedingsは、訴訟・裁判に関する用語です。
これが英文契約書に出てきたら、訴訟手続きや法的手続きに係わる内容なので注意して見ていく必要があります。
proceedingsは、訴訟手続き、仲裁手続き、法的手続きという意味で使われます。
これら三つの意味は、英文契約書のどの場面かにより、区別されます。（次の使い方の解説をご覧ください）
なお、proceedingsで、通常、複数形で使われます。（単数形の場合もあります）
２）proceedingsの使い方
proceedingsは、
などで使われます。
それぞれの場面での代表的な使い方は、以下のとおりです。
・Jurisdiction（裁判管轄条項）：訴訟手続きの意味で使用されます。
「当事者は、訴訟または訴訟手続き（proceedings）に関して、～の裁判所の裁判管轄に服することに同意する」というような内容で表現されます。（英文契約書の例文①をご覧ください）
・Arbitration（仲裁条項）：仲裁手続きの意味で使用されます。
「仲裁は、～（例：国際商工会議所）の仲裁規則に従って、～の場所で仲裁手続き（proceedings）が行われる」というような内容で表現されます。（英文契約書の例文②をご覧ください）
・Termination（契約解除条項）：法的手続きの意味で使用されます。
解除事由の中で、「相手方が破産、清算、解散などの法的手続き（proceedings）を開始した場合、契約を解除できる」というような内容で表現されます。（英文契約書の例文③をご覧ください）
２．例文と基本表現：

１）proceedings（訴訟手続き）– 例文①
Jurisdiction（裁判管轄条項）からです。当事者は、訴訟手続きに関して、ニューヨーク州の裁判所の裁判管轄に服することに同意します。
The parties to this Agreement hereby consent to the non-exclusive jurisdiction of any State or Federal Court of competent jurisdiction located within the State of New York, in connection with any actions or proceedings arising directly or indirectly from this Agreement.
（訳）：
本契約の当事者は、本契約から直接的又は間接的に生じる訴訟又は訴訟手続きに関連して、ニューヨーク州内に所在する正当な管轄権を有する州又は連邦裁判所の非専属裁判管轄権に同意する。
（注）：
＊the non-exclusive jurisdictionは、非専属裁判管轄権という意味です。
＊competent jurisdiction は、正当な管轄権を有する（裁判所）という意味です。
＊in connection withは、～に関連してという意味です。
＊any actions or proceedingsは、訴訟又は訴訟手続きという意味です。
２）proceedings（仲裁手続き）– 例文②
Arbitration（仲裁条項）からです。仲裁手続きは、米国仲裁協会の仲裁規則に従って、サンフランシスコで行われます。
Any and all disputes or disagreements rising between the parties out of this agreement upon which an amicable understanding cannot be reached, shall be decided by arbitration in accordance with the procedural rules of the American Arbitration Association as presently published and existing. The parties agree to be bound by the decision of the arbitrators. The arbitration proceeding shall take place in San Francisco, California unless another location is mutually agreed to by the parties.
（訳）：
本契約から当事者間で生じるすべての紛争又は論争で、円満な解決に至らない場合は、現在公開されている米国仲裁協会の手続き規則に従って、仲裁により裁定される。 両当事者は、仲裁人の裁定に拘束されることに同意する。 仲裁手続きは、当事者が他の場所について相互に合意しない限り、カリフォルニア州サンフランシスコで行われる。

＊the American Arbitration Associationは、米国仲裁協会を意味します。 国際的な仲裁機関のひとつです。
＊as presently published and existingは、現在公開されていると訳しています。
＊be bound byは、～に拘束されるという意味です。
＊The arbitration proceedingは、仲裁手続きという意味です。
３）proceedings（法的手続き）– 例文③
Termination （契約解除条項）からです。当事者は、相手方が破産、清算、解散などの法的手続きを開始した場合、契約を解除できます。
Either Party to this Agreement may terminate this Agreement by written notice to the other Party if, and only if, such other Party (a) becomes insolvent, (b) makes a general assignment for the benefit of creditors, (c) suffers or permits the appointment of a receiver for its business or assets, (d) becomes subject as the debtor to any proceeding under any bankruptcy or insolvency Law, whether domestic or foreign, and such proceeding is not dismissed with prejudice within sixty (60) days after filing, or (e) commences liquidation or dissolution proceedings, voluntarily or otherwise.
（訳）：
本契約のいずれかの当事者は、相手方の当事者が、（a）支払不能になった場合、（b）債権者の利益のため一括譲渡を行った場合、（c）その事業又は資産の管財人の任命を受ける若しくは許可する場合（d）国内又は外国を問わず、破産法に基づく手続きの債務者としての対象となり、その手続きが申請後60日以内に請求棄却されない場合 、e）自発的又はその他の方法で清算若しくは解散手続きを開始した場合、にのみに限り、相手方への書面通知により、本契約を解除することができる。
