１）rights and obligations（権利義務）– 例文①
Assignment（譲渡制限条項）からです。当事者は、事前の同意なしに、本契約の権利義務を第三者に譲渡できません。
The Contracting Party is not entitled to assign any of its rights and obligations under this Agreement or the General Terms and Conditions to any third party without the prior written consent of the Company.
（訳）：
契約当事者は、当社の書面による事前の同意なしに、本契約又は一般取引条件に基づく権利義務を第三者に譲渡する権利を有しない。

２）rights and obligations（権利義務）– 例文②
Assignment（譲渡制限条項）からです。当事者は、他の当事者の事前の同意なしに、契約の権利義務を譲渡、委任その他の方法で移転できません。
Unless otherwise permitted in this Agreement, neither Party may assign, delegate, subcontract, mortgage or otherwise transfer any or all its rights and obligations under this Agreement without the prior written consent of the other Party.
（訳）：
本契約で別途認められている場合を除き、いずれの当事者も、他の当事者の事前の書面による同意なしに、本契約に基づく権利義務の一部若しくはすべてを譲渡、委任、再委託、担保差入れ又はその他の方法で移転することはできない。

３）rights and obligations（権利義務）– 例文③
Assignment（譲渡制限条項）からです。一方当事者は、譲受人が譲渡人の義務に従うことを他方当事者に約束することを条件に、契約の権利義務を、事業を譲受ける他の者に譲渡できます。
A Party may assign and transfer all its rights and obligations under these Conditions to any person to which it transfers all its business, provided that the assignee undertakes in writing to the other Party to be bound by the obligations of the assignor under this Agreement.
（訳）：
一方当事者は、譲受人が本契約に基づく譲渡人の義務に従うことを他方当事者に書面で約束することを条件として、本契約に基づく全ての権利義務を、全事業を譲受ける他の者に譲渡することができる。

４）rights and obligations（権利義務）– 例文④
Survival（存続条項）からです。両当事者の１つ以上の権利義務の終了は、その終了後も継続する本契約の規定に影響しません。
Termination of one or more of the rights and obligations of the parties, for whatsoever reason, shall not affect the provisions of this Agreement which are intended to continue to have effect after such termination.
（訳）：
両当事者の1つ以上の権利義務の終了は、いかなる理由があっても、かかる終了後も効力が継続することを意図した本契約の規定に影響を与えない。
（注）：
＊for whatsoever reasonは、いかなる理由があってもという意味です。
＊are intended to continue to have effectは、are intended to（を意図する）と、continue to have effect（効力が継続する）で、効力が継続することを意図するという意味です。
5）rights and obligations（権利義務）– 例文⑤
Governing Law（準拠法条項）からです。本契約に基づく両当事者の権利義務は、デラウェア州の法律に準拠し、行使されます。
This Agreement and the rights and obligations of the parties with respect to their relationship under this Agreement are governed by and must be construed and enforced in accordance with the laws of the state of Delaware, without reference to its choice of law rules.
（訳）：
本契約及び本契約に基づく両当事者の関係に係わる権利義務は、法の選択規則に関係なく、デラウェア州の法律に準拠し、同法に従って解釈され、行使されなければならない。
（注）：
＊with respect toは、に係わると訳しています。
＊governed byは、に準拠するという意味です。
