英文契約書によく出るprevail、supersede、overrideについて解説します。いくつかの例文に要点と対訳と語注をつけました。
１．解説：
英文契約書では、prevail、supersede、overrideは、いずれも、
～に優先する、～に優先適用する
という意味で用いられます。
prevail、supersede、overrideは、以下のような状況が考えられる場合に、将来、起こりうる紛争をさけるために、事前に特定のひとつの契約書や、 契約書の特定の条項を、優先して適用させる場合に、使います。
・複数の契約書や契約関係が存在し、それらの間に内容の食い違いが予想されるとき。（たとえば、基本契約書と個別契約書、前に作成した契約書と後で作成した契約書、契約書と合意書、契約書と口頭約束、などです。）
・ひとつの契約書でも、本契約と別紙資料との間で、食い違いが予想されるとき。
・ひとつの契約書でも、互いに食い違う条項の存在が、予想されるとき。

１） prevail の例文①
契約の条件と添付資料との優先関係を規定しています。
In the event of any inconsistencies between the terms and conditions of this Agreement and a schedule attached hereto, the terms and conditions herein shall prevail.
（訳）：
本契約の条件と、本契約に添付される付属書類との間に矛盾がある場合、本契約の条件が優先するものとする。

＊the terms and conditionsは、（契約の）条件という意味です。

２） prevail の例文②
英語の本契約と他の翻訳言語の契約との優先関係を規定しています。
This contract is made in the English language. Where there is any conflict in meaning between the English language version of this agreement and any version or translation of this agreement in any other language, the English language version shall prevail.
（訳）：
本契約は英語で作成される。 英語バージョンの本契約および他の翻訳言語バージョンの契約との間に意味の矛盾がある場合、英語バージョンの本契約が優先するものとする。
３） supersede の例文③
事前の合意と本契約との優先関係の例文です。
This Agreement expressly supersedes any prior written or oral understandings or agreements between the Parties with respect to the product.
（訳）：
本契約は、製品に関する当事者間における事前の書面もしくは口頭の理解、または合意に明示的に優先する。
（注）：
＊with respect to は、～に関するの意味です。
４） supersede の例文④
例文③と同様、事前の合意や書面と、本契約の優先関係です。
This Agreement replaces and supersedes any other agreement or agreements, oral or written, that the Company may have with Customers with respect to the subject matter covered by this Agreement.
（訳）：
本契約は、本契約の対象となる主題に関して、当社が顧客と締結した口頭または書面の一切の契約に取って代わり優先する。
（注）：

５）overrideの例文⑤
本契約とそれ以外の条件等の優先関係です。
Terms of this Agreement shall override any additional, inconsistent or conflicting conditions or any purchase order, quotation, acknowledgement, invoice or other written correspondence.
（訳）：
本契約の条件は、追加のもしくは矛盾する条件、注文書、見積もり、確認、請求書またはその他の書面による通信に優先するものとする。
（注）：
＊inconsistent or conflictingは、矛盾する（条件）という意味です。同義語による強調表現です。
