英文契約書の完全合意条項で、よく使われる表現であるsubject matterについて解説します。例文に訳をつけています。例文中の他の基本表現に注記しました。
１．解説：
１）subject matterとは
subject matterは、（契約の）主題という意味です。
文字どおり、契約の中心となる題目のことです。
subject matterは、文脈によっては、本件と訳すこともできます。
英文契約書では、とくにEntire Agreement（完全合意条項）で、subject matterの表現がよく使われます。
Confidentiality（秘密保持条項）でも見かける表現です。
なお、Entire Agreement（完全合意条項）とは、
本契約とは別に他に合意や交渉があったとしても、本契約のみが完全で最終的な合意であり、他のすべての合意や交渉などに優先する
ことを定める契約条文のことです。
また、Confidentiality（秘密保持条項）とは、
当事者が契約義務を履行する過程で、第三者に漏洩されてしまうと相手方や自己のビジネスに支障のある情報について、秘密に保持する義務を課す
ことを目的とする契約条文を意味します。
２）subject matterの使い方
以下は、Entire Agreement（完全合意条項）とConfidentiality（秘密保持条項）での使われ方の例です。（青字部分）
・Entire Agreement（完全合意条項）で：
本契約は、本契約の主題（subject matter）に関して当事者の完全な了解事項にあたる。（下記の英文契約書の例文①をご覧ください）
・Confidentiality（秘密保持条項）で：
受領当事者は、開示された本契約の主題（subject matter）に関する一切の情報を、秘密として保持する。（下記の英文契約書の例文②をご覧ください）
（注）：上記で解説したsubject matterは青文字で示し、他の基本表現をハイライトしています。
１）subject matter – 例文①
Entire Agreement（完全合意条項）からです。本契約は、契約の主題に関する当事者の完全な了解事項にあたります。
This Agreement constitutes the full and complete understanding between the Parties with respect to the subject matter of this Agreement, and neither the correspondence nor any other documents exchanged prior to or in connection with the signing of this Agreement with respect to the subject matter of this Agreement, nor any statements, warranties, representations, or agreements whether oral or written, made with respect to the subject matter of this Agreement, during negotiations or otherwise, shall be binding on any Party unless expressly incorporated or referred to in this Agreement.
（訳）：
本契約は、本契約の主題に関する両当事者間の完全な了解事項を構成する。本契約の主題に関して、その署名に先立ち、もしくは署名に関連してやりとりされた通信書類、その他のあらゆる文書、または、口頭か書面を問わず、本契約の主題に関連して作成されたあらゆる声明、保証、表明もしくは合意は、交渉中であろうとなかろうと、本契約に明示的に盛り込まれ、もしくは参照されていない限り、いずれの当事者に対しても拘束力を有しないものとする。

＊the Partiesは、両当事者という意味です。
＊with respect toは、に関するという意味です。
＊anyは、あらゆる、いずれの～でもという意味です。この例文だけでanyが３回登場します。英文契約書では、対象とする範囲を広げたいときに、any（あらゆる、いずれの～でも）というような用語がよく使われます。
＊prior to or in connection with the signing of this Agreement with respect to the subject matter of this Agreementは、本契約の主題に関して、その署名に先立ち、もしくは署名に関連してと訳しています。
＊whether oral or writtenは、口頭か書面を問わずという意味です。
＊or otherwiseは、であろうとなかろうと、その他何であろうとという意味です。くわしくは、or otherwiseの意味と例文をご覧ください。
＊bindingは、拘束力を有するという意味です。くわしくは、bindingとenforceableの意味と例文をご覧ください。
２）subject matter – 例文②
Confidentiality（秘密保持条項）からです。受領当事者は、契約の主題に関する一切の情報を、秘密として保持することに合意します。
Recipient agrees on behalf of itself and its employees, servants, agents, affiliates, subsidiaries, assigns and successors that Recipient will maintain as secret and confidential all information received from Discloser including all such information and documents relating to or in connection with the subject matter of this Agreement.
（訳）：
受領者は、自ら、ならびにその従業員、使用人、代理人、関連会社、子会社、譲受人および承継人を代理して、受領者が開示者から受領したすべての情報（本契約の主題に関する一切の情報および文書を含む）を秘密として保持することに同意する。

＊servants, agents, affiliates, subsidiariesは、それぞれ、使用人、代理人、関連会社、子会社という意味です。
