１．解説：
１）unless otherwise とは
unless otherwiseは、英文契約書で除外や但し書きを示す表現です。
unless（～でない限り）と、
otherwise（その他は、別段の）
から成ります。
unless otherwiseで、
別段の～でない限り
という意味になります。
２）unless otherwise を使った関連表現
unless otherwise（別段の～でない限り）を使った関連表現に、以下のようなものがあります。
・unless otherwise agreed in writing ：
別途書面にて合意する場合を除きを意味します。（下記の例文①をご覧ください）
・unless otherwise specifically agreed：
別段の合意がない限りを意味します。（下記の例文②をご覧ください）
・unless otherwise provided in this Agreement：
本契約で別段の定めがない限りを意味します。
・unless otherwise provided herein：
同じく、本契約で別段の定めがない限りを意味します。（下記の例文③をご覧ください）

２．例文と基本表現：
（注）：unless otherwiseとその関連表現は、青文字で示し、基本表現をハイライトしています。
１） unless otherwise agreed in writing（別途書面にて合意する場合を除き） – 例文①
別途書面にて合意する場合を除き、代金が完済されるまで、所有権は会社に帰属したままです。
From the time of delivery the Goods shall be at the risk of the Buyer who shall be solely responsible for their custody and maintenance but, unless otherwise expressly agreed in writing, the Goods shall remain the property of the Company until all payments under the Contract have been made in full and unconditionally.
（訳）：
納品時以降、商品の保管と保守について全責任を負う買主が商品の危険を負担するものとするが、別途書面にて明示的に合意する場合を除き、支払いが契約に基づき全額かつ無条件に完了するまで、商品の所有権は、会社に引き続き帰属する。
（注）：
＊be solely responsible forは、について全責任を負うという意味です。くわしくは、solely responsible forの意味と例文をご覧ください。
＊remain the property of the Companyは、会社に引き続き帰属するという意味です。
＊unconditionallyは、無条件にという意味です。
２） unless otherwise specifically agreed（別段の合意がない限り） – 例文②
別段の合意がない限り、支払条件は30日以内の全額払いです。
Payment terms are net thirty days from the date of invoice, unless otherwise specifically agreed in writing.
（訳）：
書面で別段の合意がない限り、支払条件は請求書の日付から30日以内に全額の支払いとする。
（注）：
＊net thirty daysは、30日以内に全額の支払いという意味です。
＊Payment termsは、（代金）支払条件という意味です。くわしくは、Payment Terms（代金支払条件の条項）をご覧ください。
３） unless otherwise provided herein（本契約で別段の定めがない限り） – 例文③
本契約で別段の定めがない限り、ソフトウェアを、販売やライセンスすることはできません。
Unless otherwise provided herein, you may not directly or indirectly sell, rent, lease, give, lend, license, sublicense, or redistribute the Software.
（訳）：
本契約で別段の定めがない限り、ソフトウェアを、直接間接を問わず、販売、レンタル、リース、贈与、貸与、ライセンス供与、サブライセンス供与又は再配布することはできない。
（注）：

４） unless otherwise specified（別途定めがない限り） – 例文④
別途定めがない限り 、サプライヤーは、注文の保管等の管理を維持しなくてはいけません。
Unless otherwise specified, the Supplier shall maintain controls to assure the accomplishment of preservation, packaging, and shipping requirements of this order.
（訳）：
別途定めがない限り 、サプライヤーは、注文の保管、包装、出荷条件の達成を確保するため、管理を維持するものとする。

５） unless specifically stated otherwise（特段の定めがない限り） – 例文⑤
サンプル等の情報は、特段の定めがない限り、およその手引きとして扱われれます。
Any samples, illustrations or descriptive material and other information contained in the Company brochures, advertising material or elsewhere shall not form part of the Agreement and shall be treated as approximate and for guidance only unless specifically stated otherwise.
（訳）：
会社のパンフレット、広告資料その他に含まれるサンプル、イラスト、説明資料及びその他の情報は、本契約の一部を構成せず、 特段の定めがない限り、概算及びガイダンスとしてのみ扱われるものとする。
（注）：
＊shall not form part of the Agreementは、本契約の一部を構成しないという意味です。
６） unless otherwise prescribed by law（法で規定されていない限り） – 例文⑥
法で規定されていない限り 、個人情報は、無断で第三者に開示されません。
Unless otherwise prescribed by law, personal information is generally not disclosed/supplied to third parties without the permission of the person concerned.
（訳）：
法で規定されていない限り 、個人情報は、原則、関係者の許可なしに第三者に開示又は提供されない。
（注）：
＊without the permission of the person concernedは、関係者の許可なしにという意味です。
