英文契約書で、廃棄証明書の意味で使われる表現のCertificate of Destructionについてとりあげます。併せて、例文をとりあげ、要点と対訳をつけて重要表現に注記を入れました。
１．解説：
Certificate of Destructionとは、廃棄証明書のことを意味します。
Certificate of Destruction（廃棄証明書）は、秘密保持契約で置かれることの多い、
Return or Destruction of Information（秘密情報の返還・廃棄条項）
で使われる表現です。
秘密保持契約の終了時や、開示当事者から返還要求があったときは、受領当事者は、速やかに秘密情報を返還するか、または廃棄する義務を負います。
その場合に、厳格な秘密保持契約においては、
秘密情報を廃棄した場合に、受領当事者にCertificate of Destruction（廃棄証明書）の提示を求める
ことが多くなります。
２．例文と基本表現：

１）Certificate of Destruction（廃棄証明書）– 例文①
機密情報を含む記憶媒体の廃棄後は、サプライヤーは買主に廃棄証明書を提示しなくてはいけません。
At Buyer’s request or at the expiration or termination of the Agreement, the Supplier undertakes to return to the Buyer any document provided by the latter in any form whatsoever, and/or destroy all documents in any form whatsoever, containing Confidential Information and then certify in writing the destruction of the documents. If such aforementioned storage mediums are destroyed, the Supplier shall send the Buyer a certificate of destruction.
（訳）：
買主の要求もしくは本契約の満了もしくは終了時に、サプライヤーは、買主から提供された文書をいかなる形式でも買主に返却し、または機密情報を含むいかなる形式の文書もすべて廃棄し、書面にて証明することを約束する。 上記の記憶媒体が廃棄された場合、サプライヤーは買主に廃棄証明書を提示するものとする。

＊whatsoeverは、強調表現です。いかなると訳しています。
＊certify in writing は、書面にて証明するという意味です。

２）Certificate of Destruction（廃棄証明書）– 例文②
サービス会社は、廃棄を監視した担当従業員が署名した個人データの廃棄証明書を、ベンダーに提示しなくてはいけません。
Upon termination or expiration of the Agreement, or as requested in writing by Vendor at any time, Service Provider will, at its own expense and at Vendor’s option: (a) promptly return all Personal Data ; or (b) destroy all documents, materials, and any other media that may contain Personal Data, without retaining any portion or copy thereof. Service Provider will provide Vendor with a certificate of destruction of Personal Data in a form acceptable to Vendor, signed by an authorized employee of Service Provider who has supervised such destruction.
（訳）：
本契約の終了もしくは満了時、またはベンダーから書面でいつでも要求がある場合、サービス会社は、自らの費用でかつベンダーの選択で、次のことを行うものとする： （a）すべての個人データを速やかに返却する、または（b）個人データを含む可能性のある一切の文書、資料およびその他の媒体を、その一部もしくはコピーを保持せずに廃棄する。サービス会社は、かかる廃棄の監視を担当したサービス会社の指定従業員が署名した個人データの廃棄証明書を、ベンダーが認める形式で、ベンダーに提示するものとする。

＊at its own expenseは、自らの費用でという意味です。

＊authorized employeeは、直訳すると権限の与えられた従業員ですが、指定従業員と訳しました。
＊has supervisedは、監視したという意味です。
