１．解説
１） Relationship of the Parties （当事者の関係条項）とは
Relationship of the Parties（当事者の関係条項）とは、
契約を結んでも、契約当事者の双方ともに独立した当事者の関係であることを明確にする
ことを目的とする契約条項です。
一方当事者が、他方当事者の代理人とされたり、各当事者がパートナーシップやジョイントベンチャーを構成する組合員となるものでなく、お互いに相手方当事者に対して、何らかの代理権を与えるものでない
ことを明確にします。
こうすることで、契約当事者間で予期しない義務や債務を負担するリスクを避ける狙いがあります。
Relationship of the Parties（当事者の関係条項）の条文は、
・Sales Contract（売買契約）
・Service Agreement（サービス委託契約）
・Distribution Agreement（販売店契約）
・Joint Venture Agreement（合弁契約）
・Consulting Agreement（コンサルタント契約）
などで、よく設けられます。
２）他方当事者に一定の権限を与える場合のやり方
契約の内容自体が、一定の権限を他方当事者に与える内容を含む場合には、以下のいずれかのやり方が可能です。
① Relationship of the Parties（当事者の関係条項）をいれない。
② Relationship of the Parties（当事者の関係条項）を修正して、「本契約に定める権限以外の権限を与えない」とするの旨の規定を設ける。
３） 見出し条項について
Relationship of the Parties（当事者の関係条項）の見出し条項は、他に、
・Independent Contractors（独立した契約者）
・Independent parties（独立した当事者）
などのタイトルで表示されたり、これらが表現としてが条項の中で使われたりすることもあります。（以下の例文②と例文③をご覧ください）
２．例文と基本表現

１）Relationship of the Parties （当事者の関係条項） － 例文①
契約当事者の関係は、売買する資産についての売主と買主のみであることを確認しています。
Purchaser and Seller acknowledge and agree that the relationship established between the parties pursuant to this Contract is only that of a seller and a purchaser of property. Neither Purchaser nor Seller is, nor shall either hold itself out to be, the agent, employee, joint venturer or partner of the other party.
（訳）：
買主と売主は、本契約に従って当事者間に確立された関係が、資産について売主と買主のみの関係であることを確認し合意する。買主も売主も、相手方の代理人、従業員、合弁事業者またはパートナー組合員として振る舞ってはならない。

２）Relationship of the Parties （当事者の関係条項） － 例文②
Servicer（債権回収会社）は、independent contractors（独立した契約者）であり、当事者を代理しません。
The Servicer is an independent contractor and, except for the services which it agrees to perform hereunder, the Servicer does not hold itself out as an agent of any other party hereto. Nothing herein contained shall create or imply an agency relationship among Servicer and any other party hereto, nor shall this Agreement be deemed to constitute a joint venture or partnership between the parties.
（訳）：
債権回収会社は、独立した契約者であり、本契約に基づき履行に同意するサービスを除き、債権回収会社は、本契約の他の当事者の代理人としての地位を保持しない。 本契約のいかなる規定も、債権回収会社と本契約の他の当事者との間で、代理関係を構築又は示唆するものではなく、本契約は、両当事者間の合弁事業又はパートナーシップを構成するものではない。

＊create or implyは、構築又は示唆するという意味です。

３）Relationship of the Parties （当事者の関係条項） － 例文③
当事者の関係は、independent contractors（独立した契約者）です。
The relationship of the parties under this Agreement is that of independent contractors. Nothing contained in this Agreement is intended or is to be construed so as to constitute the parties as partners, joint venturers, or either party as an agent or employee of the other. Neither party has any express or implied right under this Agreement to assume or create any obligation on behalf of or in the name of the other, or to bind the other party to any contract, agreement or undertaking with any Third Party, and no conduct of the parties shall be deemed to infer such right.
（訳）：
本契約に基づく当事者の関係は、独立した契約者の関係とする。 本契約に含まれるいずれの内容も、パートナー、合弁事業者または相手方の代理人もしくは従業員として、当事者を構成することを意図もしくは解釈されるものでない。 いずれの当事者も、本契約に基づいて、相手方の代理人としてまたは相手方の名前で、義務を引き受けたり設けたり、第三者との契約、合意または約束を義務付けたりするいかなる明示的または黙示的な権利も有しておらず、 当事者のいかなる行為も、かかる権利の推測とみなされない。

＊any express or implied rightは、明示的または黙示的な権利という意味です。
＊assume or create any obligationは、義務を引き受けたり設けたりするという意味です。
＊on behalf of or in the name of the otherは、相手方の代理人としてまたは相手方の名前でという意味です。on behalf ofについては、くわしくは、on behalf ofの意味と例文をご覧ください。
＊contract, agreement, undertakingは、それぞれ契約、合意、約束という意味です。agreementは、ここでは契約のことではなく、合意、合意事項を意味します。
＊be deemed to infer such rightは、be deemed to（～とみなされる）とinfer such right（かかる権利を推測する）で、かかる権利の推測とみなされると訳しています。
