１．解説：
１）ClosingとClosing Dateとは
M&A契約（企業や事業の合併・吸収の契約）には、
・Asset Purchase Agreement (資産譲渡契約）
・Stock Purchase Agreement（株式譲渡契約）
などがあります。
そして、これらのM&A契約には、ClosingやClosing Dateという用語が必ずといってよいほど登場します。
ClosingとClosing Dateの意味は、以下のとおりです。
・Closing（クロージング）：
Closing（クロージング）とは、これらのM&A契約において、取引の対象となる資産や株式の売主から買主への受け渡しと、その代金の支払いが完了することをいいます。
・Closing Dateまたはthe date of Closing（クロージング日）：
Closing Dateまたはthe date of Closing（クロージング日）とは、これら資産や株式の受け渡しと、その代金の支払いが完了する日のことをいいます。
なお、ClosingとClosing Dateは、それぞれ、そのままクロージング、クロージング日と訳されます。
２）Closing Dateの使い方
Closing Date（クロージング日）は、
M&A契約のrepresentations and warranties（表明保証条項）
で使われます。
Closing Date（クロージング日）の使い方は、たとえば、以下のようになります。（青文字）
・『M&A契約の対象事項の内容が、クロージング日（Closing Date）において真実であることを表明する』（英文契約書の例文①をご覧ください）
・『クロージング日（Closing Date）において、必要な法令対応が完了していることを表明する』（英文契約書の例文②をご覧ください）
・『クロージング日（Closing Date）以降、一定期間、競業避止を約束することを表明する』（英文契約書の例文③をご覧ください）
・『クロージング日（Closing Date）において、対象物件の状態について、保証しないことを表明する』つまり、表明保証を否定する表明です。（英文契約書の例文④をご覧ください）
２．例文と基本表現：

１）Closing Date（クロージング日）– 例文①
クロージング日において、対象事項の内容が真実であることの表明保証です。
Seller hereby makes the following representations, warranties and covenants to Purchaser, all of which shall be true as of the Effective Date hereof and as of the date of any Closing hereunder:
（訳）：
本契約により、売主は、買主に対して、以下の事項がすべて、本契約の発効日及びクロージング日現在において、真実であることを表明し、保証し、誓約する：

＊makes representations, warranties and covenantsは、表明し、保証し、誓約するという意味です。表明保証条項の契約表現です。
＊the Effective Date hereofは、本契約の発効日という意味です。くわしくは、the date hereofとthe effective date hereofの意味と例文をご覧ください。
２）Closing Date（クロージング日）– 例文②
クロージング日での、法令対応の完了の表明です。
As of the Closing Date, Seller has obtained all approvals and permissions and completed all registrations and notifications that are required to be obtained/completed by Seller under applicable laws and regulations to complete the Closing and the transactions contemplated hereunder.
（訳）：
クロージング日において、売主は、クロージング及び本契約で意図される取引を完了するために、適用法令に基づき、売主が取得し完了する必要があるすべての承認及び許可を取得し、すべての登録及び届出を完了している。
（注）：
＊notificationsは、届出という意味です。
＊applicable laws and regulationsは、直訳すると適用法令及び規制ですが、意訳（適用法令）しています。applicable lawsについては、くわしくは、applicable lawの意味と例文をご覧ください。
＊contemplated hereunderは、本契約に基づき意図されるという意味です。
３）Closing Date（クロージング日）– 例文③
クロージング日から一定期間のNon-Competition（競業避止）の約束の表明です。
Seller agrees that for the period commencing on the Closing Date and ending on the fifteenth anniversary of the Closing Date, neither Seller nor its Subsidiaries will directly or indirectly sell, market, develop, distribute, manufacture or otherwise promote, pursuant to a license, any Competing Product in the Territory, or actively and knowingly assist any Third Party to do any of the foregoing.
（訳）：
売主は、クロージング日から始まり、クロージング日の15年目までの期間、売主とその子会社が、指定販売地域において、競合製品を、ライセンス条件に従って直接的若しくは間接的に、販売、マーケティング、開発、流通、製造若しくはその他の方法で販売促進を行わなず、又は前述のいずれかを行うために積極的かつ意図的に第三者を支援しないことに合意する。

＊the fifteenth anniversaryは、直訳すると15年後の応当日ですが、15年目と訳しています。

＊Competing Productは、競合製品という意味です。
＊actively and knowinglyは、積極的かつ意図的にという意味です。
＊the foregoingは、前述の（もの）という意味です。
４）Closing Date（クロージング日）– 例文④
クロージング日において、対象物件の保証を否定する表明です。
Except as specifically provided in this Contract, Seller makes no representations or warranties to Buyer with respect to the condition of the Property and Buyer shall take title to the Property in its “as is” condition as of the date of Closing.
（訳）：
本契約で個別に規定されている場合を除き、売主は物件の状態に関して、買主に対し表明保証を行わず、買主は、クロージング日時点の「現状有姿」の状態で、物件の所有権を取得するものとする。
